Examples of Target Bonus in a sentence
Executive will only be eligible to receive the Target Bonus if Executive remains employed by the Company as of the date that annual bonuses are paid, which date shall be no later than (i) the fifteenth (15th) day of the third (3rd) month following the close of the Company’s fiscal year in which the Target Bonus is earned or (ii) March 15 following the calendar year in which the Target Bonus is earned.
If Executive’s employment is terminated by the Company without Cause or if Executive resigns for Good Reason, and such termination is not a CIC Termination (as defined below), then, subject to Section 6 and Section 9, Executive will receive a lump-sum payment in an amount equal to one and one quarter (1.25) times the sum of (i) Executive’s Base Salary and (ii) Executive’s Target Bonus for the year in which the termination occurs.
The Target Bonus shall be subject to review and may be adjusted based upon the Company’s normal performance review practices.
The amount of Executive’s Target Bonus paid to Executive (if any) will be determined by the Board or the Committee (as applicable) in its sole discretion and less applicable withholdings.
For calendar year 2025, the achieved Target Bonus will be pro-rated under the terms of this Agreement.
