Target Bonus definition

Target Bonus means Executive’s annual (or annualized, as applicable) target bonus in effect immediately prior to Executive’s Qualifying Termination or, if Executive’s Qualifying Termination occurs during the Change in Control Period and the amount is greater, Executive’s annual (or annualized, if applicable) target bonus in effect immediately prior to the Change in Control.
Target Bonus has the meaning described in Section 4(b).
Target Bonus means the target Bonus established for Executive, whether expressed as a percentage of Base Salary or a dollar amount.

Examples of Target Bonus in a sentence

  • Executive will only be eligible to receive the Target Bonus if Executive remains employed by the Company as of the date that annual bonuses are paid, which date shall be no later than (i) the fifteenth (15th) day of the third (3rd) month following the close of the Company’s fiscal year in which the Target Bonus is earned or (ii) March 15 following the calendar year in which the Target Bonus is earned.

  • If Executive’s employment is terminated by the Company without Cause or if Executive resigns for Good Reason, and such termination is not a CIC Termination (as defined below), then, subject to Section 6 and Section 9, Executive will receive a lump-sum payment in an amount equal to one and one quarter (1.25) times the sum of (i) Executive’s Base Salary and (ii) Executive’s Target Bonus for the year in which the termination occurs.

  • The Target Bonus shall be subject to review and may be adjusted based upon the Company’s normal performance review practices.

  • The amount of Executive’s Target Bonus paid to Executive (if any) will be determined by the Board or the Committee (as applicable) in its sole discretion and less applicable withholdings.

  • For calendar year 2025, the achieved Target Bonus will be pro-rated under the terms of this Agreement.


More Definitions of Target Bonus

Target Bonus shall have the meaning set forth in Section 3(b).
Target Bonus means the target cash bonus for which the Executive is eligible on an annual basis, at a level consistent with the Executive's title and responsibilities, under the Company's bonus program then in effect and applicable to the Company's senior executives generally.
Target Bonus means the percentage of salary or level of bonus for Employee which is set by the Compensation Committee at the beginning of each year as an incentive goal to be achieved (it being understood that the actual bonus eventually earned could be lesser or greater than the Target Bonus).

Target Bonus means the full amount of the targeted annual short-term incentive bonus that would be payable to the Executive, assuming the targeted performance criteria on which such annual short-term incentive bonus is based were deemed to be satisfied, in respect of services for the calendar year in which the date in question occurs.
Target Bonus means the target bonus (100% level) established for the Executive for the year in question under the Company's "Annual Incentive Plan" or "Performance Unit Plan," as applicable.
Target Bonus means, for any year, the target annual bonus from the Company that may be earned by the Executive for such year (regardless of the actual annual bonus earned, if any); provided, however, that if, as of the Date of Termination, a target annual bonus has not been established for the Executive for the year in which the Date of Termination occurs, the “Target Bonus” as of the Date of Termination shall be equal to the target annual bonus, if any, for the immediately preceding fiscal year of Sempra Energy.
