Additional Reporting and Delivery Requirements on Completion Date. Respecting Each Property. ------------------------- On the Completion Date for each Property, the Construction Agent shall deliver to the Agent (with a copy to counsel for the Agent) an Officer's Certificate in the form attached hereto as Exhibit B specifying (a) the --------- Completion Date for the construction of Improvements at the Property and (b) the aggregate Property Cost for the Property. Such Officer's Certificate shall also include, in form reasonably acceptable to the Agent, detailed, itemized documentation supporting the asserted Property Cost figures and a certification to the effect that all Improvements have been made in accordance with all applicable material Legal Requirements, in a good and workmanlike manner in accordance with the Plans and Specifications and otherwise in full compliance with the standards and practices of the Construction Agent with respect to properties and improvements owned by the Construction Agent. The Agent shall have the right to contest the information contained in such Officer's Certificate. Furthermore, on the Completion Date for each Property, the Construction Agent shall deliver or cause to be delivered to the Agent (unless previously delivered to the Agent) originals of the following, each of which shall be in form reasonably acceptable to the Agent: (u) an as-built survey for the applicable Property; (v) insurance certificates respecting the Property as required hereunder and under the Lease Agreement; (w) a Lease Supplement, (x) a memorandum of the Lease and such Lease Supplement (in form suitable for recording), and (y) Lessor Financing Statements executed by the Lessee and the Lessor. In addition, as of the Completion Date for such Property the Construction Agent covenants and agrees that the recording fees, documentary stamp taxes or similar amounts required to be paid in connection with the related Mortgage Instrument shall be paid (or shall have been paid) in an amount required by applicable law.

Additional Reporting and Delivery Requirements on Completion Date. (a) As the Property nears Completion, the Construction Agent shall coordinate with the Agent regarding the date to be designated as the Completion Date, and no later than the Completion Date, the Construction Agent shall notify the Agent of the exact date of the Completion Date.
Additional Reporting and Delivery Requirements on Completion Date. Within thirty (30) days after the Completion Date for the Property, the Construction Agent shall deliver to the Agent an Officer’s Certificate in the form attached hereto as EXHIBIT I or in such other form as is reasonably acceptable to the Agent specifying (a) the Completion Date for the Property, (b) that the Property is capable of operation in a commercially reasonable manner as a Permitted Facility, (c) the aggregate Property Cost, and (d) that all representations and warranties of the Construction Agent and Lessee in each of the Operative Agreements and each certificate delivered pursuant thereto are true and correct in all material respects as of the Completion Date. The Agent shall have the right to contest the information contained in such Officer’s Certificate. Furthermore, on or prior to the Completion Date for the Property, the Construction Agent shall deliver or cause to be delivered to the Agent (unless previously delivered to the Agent) the following, each of which shall be in form and substance acceptable to the Agent, in its reasonable discretion: (v) a title insurance endorsement regarding the title insurance policies delivered in connection with the requirements of Section 5.3(g), but only to the extent such endorsement is necessary to provide for insurance in an amount at least equal to the maximum total Property Cost and, if endorsed, the endorsement shall not include a title change or exception reasonably objectionable to the Agent; (w) an ALTA survey for the Property as built, (x) insurance certificates respecting the Property as required hereunder and under the Lease and (y) if reasonably requested by the Agent, amendments to the Primary Financing Party Financing Statements executed by the appropriate parties. In addition, on the Completion Date, the Construction Agent covenants and agrees that the recording fees, documentary stamp taxes or similar amounts required to be paid in connection with the Mortgage Instrument shall have been paid in an amount required by applicable law.

The Collateral Agent shall have the right to contest the information contained in such Officer's Certificate. Furthermore, on or prior to the Completion Date, the Construction Agent shall deliver or cause to be delivered to the Collateral Agent (unless previously delivered to the Collateral Agent) originals of the following, each of which shall be in form and substance acceptable to the Collateral Agent, in its reasonable discretion: (x) a title insurance endorsement regarding the title insurance policy delivered in connection with the requirements of Section 5.3(g), but only to the extent such endorsement is necessary to provide for insurance in an amount at least equal to the maximum total Property Cost and, if endorsed, the endorsement shall not include a title change or exception objectionable to the Collateral Agent; (y) an as-built survey for the Property, (z) insurance certificates respecting the Property as required hereunder and under the Master Lease.

  • Additional Reporting Requirements Contractor agrees to submit written quarterly reports to H-GAC detailing all transactions during the previous three (3) month period. Reports must include, but are not limited, to the following information:

Registered Sex Offender Restrictions: For work to be performed at schools, Vendor agrees that no employee of Vendor or a subcontractor who has been adjudicated to be a registered sex offender will perform work at any time when students are, or reasonably expected to be, present unless otherwise agreed by the TIPS Member. Vendor agrees that a violation of this condition shall be considered a material breach and may result in the cancellation of the TIPS Sale at the TIPS Member’s discretion. Vendor must identify any additional costs associated with compliance of this term. If no costs are specified, compliance with this term will be provided at no additional charge. Safety Measures: Vendor shall take all reasonable precautions for the safety of employees on the worksite, and shall erect and properly maintain all necessary safeguards for protection of workers and the public. Vendor shall post warning signs against all hazards created by the operation and work in progress. Proper precautions shall be taken pursuant to state law and standard practices to protect workers, general public and existing structures from injury or damage. Smoking: Persons working under Agreement shall adhere to the TIPS Member’s or local smoking statutes, codes, ordinances, and policies.
