All Persons who may have or acquire an interest in the Mortgaged Property shall be deemed to have notice of, and be bound by, the terms of the Base Indenture and the other Related Documents; provided, however, that no such party shall be entitled to any rights thereunder without the prior written consent of Beneficiary.
Nothing contained in this Section 6.1 shall be deemed to require any constituent owner of Grantor to disgorge any Rents distributed by Grantor prior to the occurrence of an Event of Default; provided however, that nothing contained in this sentence shall limit the liability of Grantor or any Securitization Entity under the Base Indenture or any of the other Related Documents.
Removal of Beneficiary pursuant to any provision of the Base Indenture or Related Documents shall also constitute removal as Beneficiary under this Mortgage.
This Mortgage, the other Related Documents and the Base Indenture embody the entire agreement and understanding between Grantor and Beneficiary relating to the subject matter hereof and thereof supersede all prior agreements and understandings between such parties relating to the subject matter hereof and thereof.
For purposes of this Base Indenture and any of the Indenture Documents or Related Documents, any reference to “written” or “in writing” means any form of written communication, including, without limitation, electronic signatures, and any such written communication may be transmitted by Electronic Transmission.
