Annual Maintenance Fee. In consideration of the license granted to Licensee under Section 2.1, Licensee shall pay Licensor on-going annual maintenance fees of **** on each anniversary of the Effective Date.
Annual Maintenance Fee. Company will pay to University an annual, non-creditable, maintenance fee of US $ due on the first anniversary and all subsequent anniversaries of the Effective Date provided that no annual maintenance fee will be due in any year Company pays minimum annual royalties.
Annual Maintenance Fee. During each year that this contract is in force prior to the Annuity Commencement Date, the Annual Maintenance Fee, if applicable, will be deducted on the Contract Anniversary and upon full surrender of this contract. The fee will be charged against the Contract Value by reducing the number of Accumulation Units from the Sub-Accounts held as of that date. The fee will be charged on a pro-rata basis with respect to each active Sub-Account. The number of Accumulation Units deducted from each Sub-Account is determined by dividing the pro-rata portion of the Annual Maintenance Fee by the value of an Accumulation Unit for the applicable Sub-Account.
Annual Maintenance Fee. In consideration of the rights and licenses granted to Licensee under Section 2.1 with respect to the exercise of a given Commercial Option, Licensee shall pay Licensor on-going annual maintenance fees of $50,000 for the Licensed Indication associated with such Commercial Option, which annual maintenance fee will be paid on the next-occurring anniversary of the Effective Date following the Grant Date for such Licensed Indication. For clarity, Licensee shall owe an annual maintenance fee for each Licensed Indication with respect to which a license was granted under Section 2.1 upon exercise of each Commercial Option.
Annual Maintenance Fee. Company agrees to pay and shall pay to TSRI a nonrefundable annual maintenance fee in the amount of U.S. *** within thirty (30) days after each anniversary of the Effective Date, beginning with the 2nd anniversary of the Effective Date, during the term of this Agreement. Such payments shall be credited against running royalties, milestone payments and ATI Payments due for that calendar year and not for any preceding or subsequent calendar year, and Company’s royalty or other reports shall reflect such a credit.
Annual Maintenance Fee. Your account is subject to an annual maintenance fee that may be waived based on activity, and household equity.
Annual Maintenance Fee. Following the initial activation of access, the Society shall invoice Licensee at the start of each calendar year for the annual maintenance fee for the selected NEJM Archive collection(s). If the maintenance fee is not received within sixty (60) days after the start of the calendar year, access will be suspended. The Society reserves the right to modify the maintenance fee annually, provided that any increase to the maintenance fee shall not exceed five percent (5%) of the maintenance fee charged in the previous year. The Society will waive the annual maintenance fee for licensees that maintain an active license to xxxx.xxx.

The maintenance fee shall be credited against royalties due for the same CONTRACT YEAR. Annual Maintenance Fee. In consideration of the rights and licenses granted to Licensee under this Agreement, Licensee shall pay Licensor on-going annual maintenance fees on each anniversary of the Effective Date. Licensor will invoice Licensee for the amount of such maintenance fee, and the invoiced amount will be due and payable by Licensee on the later of (i) 30 days after receipt of the invoice and (ii) the applicable anniversary of the Effective Date. The annual maintenance fees will equal (a) on each anniversary prior to Licensee exercising the Commercial Option with respect to any Disease Indication, $[***], and (b) on each anniversary after Licensee has exercised the Commercial Option with respect to any Disease Indication, $[***] for each Disease Indication with respect to which the Commercial Option has been exercised as of such anniversary, up to a maximum under this clause (b) of $120,000 for all four Disease Indications. If the royalty obligation with respect to any Disease Indication has expired or such Disease Indication has otherwise been terminated, the amount due pursuant to this Section 3.3 will be decreased by $[***] for each Disease Indication with respect to which the royalty obligation has expired or such Disease Indication has otherwise been terminated.
Annual Maintenance Fee. Beginning on the third (3rd) anniversary of the Effective Date, Company shall pay the amount of [**] Dollars ($[**]) as an annual maintenance fee (the “Annual Maintenance Fee”) to Hospital within [**] days after each anniversary of the Effective Date. The Annual Maintenance Fee shall be non-refundable and non-creditable against royalties.
