Base Salary from Employment Agreement

This EMPLOYMENT AGREEMENT (the "Agreement") is made as of January 4, 2017 (the "Effective Date"), between Scott Pettit, an individual ("Employee"), and Fenix Parts, Inc., a Delaware corporation (the "Company" or "Employer"). This Agreement hereby supersedes any other employment agreements or understandings, written or oral, between Employer and Employee.

Base Salary. Employee shall receive an annual base salary of $250,000 per year (the "Base Salary") payable in accordance with the Company's regular payroll practices, as established from time to time. Employee's Base Salary and any cash bonus or other compensation shall be subject to withholding and other applicable taxes. Base Salary may be increased from time to time, but not decreased without the written consent of Employee, by the Compensation Committee of the Board (the "Committee") taking into consideration such factors as inflation, geographic market and competitive trends, corporate performance and circumstances, individual job performance and other factors that the Committee, in its sole discretion, deems pertinent.

Base Salary from Employment Agreement

Base Salary from Executive Employment Agreement

This Executive Employment Agreement ("Agreement") is entered into as of July 5, 2016 by and between Lilis Energy, Inc. (the "Company") and Ariella Fuchs ("Executive"). Executive and the Company are each referred to individually as a "Party" and collectively as the "Parties."

Base Salary. The Company shall pay, or cause to be paid, to Executive a base salary (the "Base Salary") as established by or pursuant to authority granted by the Board. Executive's initial Base Salary shall be $250,000 per year. The Base Salary shall be reviewed annually by or pursuant to authority granted by the Board in connection with its annual review of executive compensation to determine if such Base Salary should be increased (but not decreased) for the following year in recognition of services to the Company. The Base Salary shall be payable at such intervals in conformity with the Company's prevailing practice as such practice shall be established or modified from time to time.

Base Salary from Employment Agreement

This EMPLOYMENT AGREEMENT (Agreement) is entered into as of this 9th day of May, 2016 (the Effective Date), by and between Penn Virginia Corporation, a Virginia corporation (the Company), and Steven A. Hartman, an individual (the Executive).

Base Salary. During the Term, the Company shall pay to the Executive a base salary (the Base Salary) at the rate of $250,000 per calendar year, less applicable deductions. The Base Salary shall be reviewed for increase by the Board no less frequently than annually and may be increased in the discretion of the Board, and any such adjusted Base Salary shall constitute the Base Salary for purposes of this Agreement. The Base Salary shall be paid in substantially equal installments in accordance with the Companys regular payroll procedures.

Base Salary from Employment Agreement

This EMPLOYMENT AGREEMENT (this "Agreement") is made and entered into by and between Bauer Hockey, Inc., a Vermont corporation (the "Company"), and Angela Bass (the "Executive"), effective as of January 9, 2012 (the "Effective Date").

Base Salary. During the Term, the Company shall pay the Executive a base salary (the "Base Salary") at the rate of $250,000 per annum, payable in accordance with the normal payroll practices of the Company for its executives and subject to increase (but not decrease) pursuant to Section 13 and otherwise from time to time by the Board, in its discretion.

Base Salary from Executive Employment Agreement

THIS EXECUTIVE EMPLOYMENT AGREEMENT (this "Agreement") is made and entered into as of the 25th day of March, 2015, by and between ADCARE HEALTH SYSTEMS, INC., a Georgia corporation (the "Company"), and ALLAN J. RIMLAND ("Executive").

Base Salary. During the Employment Period, the Company will pay to Executive a base salary at the rate of at least $250,000 per year less normal withholdings, payable in equal monthly or more frequent installments as are customary under the Company's payroll procedures from time to time. Executive's base salary shall be reviewed at least annually by the Compensation Committee of the Board (the "Compensation Committee") pursuant to its normal performance review policies for senior executives, and the Compensation Committee may, but shall not be required to, increase Executive's base salary during the Employment Period; provided, however, that Executive's base salary may not be decreased during the Employment Period. Executive's base salary, as in effect from time to time, is hereinafter referred to as "Base Salary." Any increase in Executive's Base Salary, once granted, shall automatically amend this Agreement to provide that thereafter Executive's Base Salary shall not be less than the annual amount to which such Base Salary has been increased.

Base Salary from Employment Agreement

This EMPLOYMENT AGREEMENT (this Agreement), dated as of January 6, 2015 (the Effective Date), is by and between CYTODYN INC., a Colorado corporation (the Company) and Michael D. Mulholland (the Executive).

Base Salary. During the Term, the Company shall pay the Executive a base salary (the Base Salary) at the annualized rate of $250,000, which shall be subject to customary withholdings and authorized deductions and be payable in equal installments in accordance with the Companys customary payroll practices in place from time to time. The Executives Base Salary shall be subject to periodic adjustments as the Board and/or the Compensation Committee of the Board (the Compensation Committee) shall in its/their discretion deem appropriate. As used in this Agreement, the term Base Salary shall refer to Base Salary as may be adjusted from time to time.

Base Salary from Amended and Restated

THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this "Agreement") is made and entered into as of May 31, 2014, by and between REPUBLIC AIRWAYS HOLDINGS INC., a Delaware corporation (the "Company"), and LARS-ERIK ARNELL (the "Executive").

Base Salary. During the Term, the Company shall pay the Executive an annual base salary of $250,000 ("Base Salary"). The Board shall review the Executive's Base Salary each year and shall have the right in its discretion to increase such Base Salary. With the Executive's prior I/3516071.4consent, the Executive's Base Salary may be reduced by an amount and for a period mutually agreed between the Executive and the Company so long as such reduction is made in conjunction with similar reductions in base salary for other executives or employees of the Company.

This AMENDED AND RESTATED EMPLOYMENT AND NON-COMPETITION AGREEMENT (this Agreement), dated as of June 2, 2010, is between Interface Security Systems, L.L.C., a Louisiana limited liability company (the Employer), and Michael J. McLeod (the Employee).

Base Salary. The Employer shall pay the Employee, in accordance with the Employers then current payroll practices, a base salary (the Base Salary) at an annual rate of $250,000. The Board may in its sole discretion increase Employees Base Salary, but in no event will Base Salary be decreased below $250,000.

Base Salary from Employment and Non Competition Agreement

This AMENDED AND RESTATED EMPLOYMENT AND NON-COMPETITION AGREEMENT (this Agreement), dated as of June 2, 2010, is between Interface Security Systems, L.L.C., a Louisiana limited liability company (the Employer), and Kenneth W. Obermeyer (the Employee).

Base Salary. The Employer shall pay the Employee, in accordance with the Employers then current payroll practices, a base salary (the Base Salary) at an annual rate of $250,000. The Board may in its sole discretion increase Employees Base Salary, but in no event will Base Salary be decreased below $250,000.
