Transactional Documents definition

Transactional Documents means, collectively, this Agreement, the Security Agreement, any “operational” or similar agreement between Funding Recipient and the City providing for the performance of services by Funding Recipient to its target population, and each other document, instrument and certificate executed by Funding Recipient or any other Person in connection with the transactions contemplated by this Agreement.
Transactional Documents means collectively this Agreement, the Prospectus, the Indenture, the Warrant Indenture, and the Security Documents;
Transactional Documents shall have the meaning set forth in Section 28.

  • No representation, warranty, or statement by Grantor contained herein or in any of the Transactional Documents or other certificate or other document furnished or to be furnished by Grantor pursuant hereto contains or, at the time of delivery, shall contain any untrue statement of material fact, or omits, or shall omit, at the time of delivery, a material fact necessary to make it not misleading.

  • This Security Agreement creates a valid first priority Lien in the Collateral, securing Grantor’s performance and payment of its Obligations under the Transactional Documents, including, without limitation, performance of the City Purpose Covenant, and all actions necessary or desirable to protect such Lien have been duly taken.

More Definitions of Transactional Documents

Transactional Documents means the agreements and documents, including the agreement between the city of Minneapolis, Hennepin County and representatives of the Municipal Building Commission Employees required by Section 6(b) of this act, any real estate ownership structure or joint powers agreement under Minnesota Statutes, section 471.59, needed to effectuate the efficient dissolution of the Municipal Building Commission pursuant to this act.
Transactional Documents has the meaning given to it in clause ‎22;
Transactional Documents means this Agreement, the Transitional Services Agreement, the Reverse Transitional Services Agreement, the Transitional Trademark Licence, the Lombard Aircraft Transfer Agreements, the Intellectual Property Deed and the Confidentiality Agreement.
Transactional Documents means, collectively, this Agreement, the Architect’s Contract, the Construction Management Contract and the Construction Contracts and each and every agreement, document or indenture by which Funding Recipient or any Affiliate is bound relating to or materially affecting the financing or construction of the Project Improvements, or the leasing, possession, or occupancy of the Premises or the use of the Premises in accordance with the City Purpose Covenant.
Transactional Documents means (a) this Agreement, (b) the Guaranty, Security Agreement, and financing statement contemplated by SECTION 13(F) hereof, (c) all documents to be executed, delivered or filed in connection with the continuation of Seragen Canada under the laws of British Columbia pursuant to the provisions of SECTION 19(A) hereof, (d) all documents to be executed, delivered or filed in connection with the reorganization of the capital of Seragen Canada pursuant to the provisions of SECTION 19(B) hereof, (e) the Exchange Agreement contemplated by SECTION 19(C) hereof, and (f) the Purchase and Sale Agreements contemplated by SECTION 19(D) hereof.
Transactional Documents means the Note, the Covenant Letter Agreement (as defined in the Note), the License Agreement Amendments (as defined in the Note), the Letter Agreement, the Security Documents and the Sponsored Research Agreement Amendment (as defined in the Note).
