Buyer Documents definition

Buyer Documents has the meaning set forth in Section 5.2.

Buyer Documents shall have the meaning set forth in Section 6.1. “Cash Payment” shall have the meaning set forth in Section 3.1. “Closing” shall have the meaning set forth in Section 4.1.

Buyer Documents means those documents, agreements and instruments to be executed and delivered by Buyer in connection with this Agreement as described in Section 7.2.

Examples of Buyer Documents in a sentence

• This Agreement and the other Buyer Documents have been duly executed and delivered by Buyer.

• The execution and delivery of the Buyer Documents and the consummation of the transactions contemplated thereby have been duly and validly authorized by the Buyer.

• The Buyer is not required to give any notice to or make any filing with or obtain any permit, consent, waiver or other authorisation from any Governmental Authority or, so far as the Buyer is aware, other person in connection with the execution, delivery and performance of the Buyer Documents, other than as specified in this Agreement and except where failure to do so would not prevent the Parties from consummating the transactions contemplated by this Agreement.

• There are no Legal Proceedings pending or, to the Knowledge of Buyer, threatened against Buyer that are reasonably likely to prohibit or restrain the ability of Buyer to enter into this Agreement or any Buyer Documents or consummate the Transaction.

• The execution, delivery and performance by the Buyer of the Buyer Documents will not result in a breach of or constitute a default under: (i) any provision of the memorandum or articles of association of the Buyer; (ii) any order, judgment or decree of any Governmental Authority by which the Buyer is bound; or (iii) any agreement or instrument to which the Buyer is a party or by which it is bound.

Buyer Documents means this Agreement and all other agreements, instruments and certificates to be executed and delivered by Buyer in connection with this Agreement.
