Constitutional Documents definition

Constitutional Documents means, with respect to any Person, the certificate of incorporation, memorandum of association, articles of association, joint venture agreement, shareholders agreement, business license or similar constitutive documents for such Person.
Constitutional Documents means, in relation to the Company or a Party, its articles of association and/or bye-laws and/or any other comparable constitutional documents;
Constitutional Documents means the Memorandum and Articles of Association and any other constituent documents of the Company.

Examples of Constitutional Documents in a sentence

  • No Loan Party shall enter into or suffer to exist any agreement or contract (other than the Finance Documents) that contains restrictions, which would prevent or limit its ability to repay the Obligations and or enter into any amendment to its Constitutional Documents that could have the same effect.

  • Any Loan Party, AIC or any AIC Series shall take any action that results in a violation or breach of its respective Constitutional Documents and such violation or breach could be reasonably expected to have a Material Adverse Effect.

More Definitions of Constitutional Documents

Constitutional Documents means the constitutional documents of the Company.
Constitutional Documents means the articles of association (statuten) and deed of incorporation (akte van oprichting) and an up-to-date extract of registration of the Trade Register of the Dutch Chamber of Commerce;
