Constitutional Documents definition

Constitutional Documents means, with respect to any Person, the certificate of incorporation, memorandum of association, articles of association, joint venture agreement, shareholders agreement, business license or similar constitutive documents for such Person.
Constitutional Documents means the Memorandum and Articles of Association and any other constituent documents of the Company.
Constitutional Documents means the constitutional documents of the Company.

Examples of Constitutional Documents in a sentence

  • Any attempt to Transfer any Equity Securities or any rights thereunder in violation of the Constitutional Documents or this Agreement shall be null and void ab initio.

  • Any Stockholder attempting to effect any Transfer in violation of this Agreement and Constitutional Documents shall indemnify and hold harmless the Company and each other Stockholder from all losses that any such person may incur in enforcing the provisions of this Agreement and Constitutional Documents.

  • The authorized and issued share capital of the Company is fully paid and non-assessable and free of any and all Liens (except for any Liens under the Stockholders Agreement, the Constitutional Documents and applicable Laws).

  • No Stockholders shall take any action that has the purpose of evading the restrictions and limitations on Transfer contained under this Agreement and the Constitutional Documents by way of any direct or indirect Transfer, issuance or buyback of Equity Securities in itself and/or its Affiliates, reduction in capital or any other similar actions.

  • For purposes of clarity, the restrictions on Transfer set forth in this Agreement and Constitutional Documents are cumulative with, and in addition to, the restrictions set forth in each other agreement imposing restrictions on Transfer of Equity Securities of the Company, and not in lieu thereof.


More Definitions of Constitutional Documents

Constitutional Documents means the articles of association (statuten) and deed of incorporation (akte van oprichting) and an up-to-date extract of registration of the Trade Register of the Dutch Chamber of Commerce;

Constitutional Documents means the memorandum and articles of association of the Company.
