If, at any time, Developer definitively establishes that the amount expended on the Project Improvements will exceed the Estimated Cost, Developer shall promptly, and in any case not more than ten (10) Working Days after the Developer definitively establishes the amount of the increase, notify the City thereof in writing.
No delay in the completion of the Project Improvements shall excuse any failure by Developer to timely complete the Resort Hotel and the Convention Center (as each such term is defined in the Ground Lease) in accordance with the Ground Lease, except as set forth in the Ground Lease.
Following the completion of the Project Improvements, Developer shall maintain the Project Improvements until the Acceptance.
City Manager shall not unreasonably withhold, condition or delay its approval of any deductive change to the Project Improvements such that the Project Improvements, as revised, can be completed for the Estimated Cost.
