The execution, delivery and performance of the Credit Documents and the Related Agreements to which the Servicer is a party have been duly authorized by all necessary action on the part of the Servicer.
Notwithstanding the foregoing, Spectrum may, without the prior consent of Hanmi, assign this Agreement, as well as the Related Agreements, to its Affiliate(s) or to the successor entity in connection with a merger or acquisition, or to an entity acquiring substantially all of the product line or business operations of Spectrum, provided that such successor or acquiring entity will expressly assume in writing the obligation to perform in accordance with the terms and conditions of this Agreement.
