Subterritory definition

Subterritory means a geographic segment of a the First-Line Territory or a Sub-Bottling Territory, as described in Exhibit C-1

  • Pursuant to the Development Plan and subject to this Section 4 and other terms of this Agreement, Alpharma shall use Commercially Reasonable Efforts to conduct such Preclinical and Non-Clinical trials and Clinical Trials, at its own Cost, as necessary to seek and maintain Regulatory Approval of the Product in Subterritory A.

  • Alpharma shall prolong the life cycle of the Product in Subterritory A and the Major Market Jurisdictions to the extent Alpharma determines it is Commercially Reasonable to do so.

  • Corixa shall disclose to SB the complete texts of all patents and patent applications filed by Corixa which relate to any Product (including Corixa Patents) as well as all information received concerning the institution or possible institution of any interference, opposition, re-examination, reissue, revocation, nullification or any official proceeding involving any patent licensed herein anywhere in the Subterritory A.

  • Alpharma shall use Commercially Reasonable Efforts to develop the Product through Regulatory Approval in Subterritory A at its sole Cost.

  • Corixa agrees to keep SB promptly and fully informed of the course of patent prosecution or other proceedings including by providing SB with copies of substantive communications, search reports and third party observations submitted to or received from patent offices throughout Subterritory A.

  • SB agrees it will exercise at least the same level of diligence in the clinical development and commercialization of Product within Subterritory A as it currently uses, or in the past has used, with respect to its own commercially successful products.

  • Alpharma shall also use Commercially Reasonable Efforts to obtain Regulatory Approvals for the Product in Subterritory A, including compiling, submitting and prosecuting all necessary data, documents and Regulatory Approval Applications (including labeling), in a format acceptable to the applicable Regulatory Authorities in Subterritory A.

  • Following the end of each fiscal year after the First Commercial Sale of the Product in Subterritory A or any Major Market Jurisdiction, Alpharma shall provide Durect with an annual summary of Alpharma’s efforts and plans for the Commercialization of the Product in Subterritory A and the Major Market Jurisdictions as applicable.

  • Alpharma shall promptly provide Durect with a copy of all final reports and final protocols from Preclinical and Non-Clinical trials and Clinical Trials in Subterritory A and the Major Market Jurisdictions.

  • If Alpharma performs any Phase 4 Clinical Trial or other Clinical Trial of the Product in Subterritory A and the Major Market Jurisdictions following receipt of Regulatory Approval for the Product (each, a “Alpharma Post-Registration Study”), Alpharma shall provide Durect with draft forms of summary protocols for major studies before commencement of any such study.
