Sanctioned Territory definition

Sanctioned Territory means any country or other territory subject to a general export, import, financial or investment embargo under Economic Sanctions Law from time to time, including without limitation Iran, Myanmar, Sudan, Syria, North Korea and Russia/Ukraine.

Sanctioned Territory means, at any time, a country or territory which is itself the subject or target of any Sanctions (at the time of this Agreement, Crimea, Cuba, Iran, North Korea, Sudan and Syria).

• None of the Customer or any of its subsidiaries, nor any Customer Representative (a) is or has been, or is or has been owned or controlled by, a Sanctioned Person or (b) will, in connection with the Agreement, engage in any transactions or business dealings with any Sanctioned Person or in or with any Sanctioned Territory.

Sanctioned Territory means, as of any date of determination, any country or other territory subject to a general export, import, financial or investment embargo under Economic Sanctions Law, which territories, as of the date of this Agreement, include Crimea, Cuba, Iran, Sudan and Syria;

Customer shall immediately notify AvePoint if it has any information or suspicion that there may be a violation of this Section. Customer also represents and warrants that it is aware of, understands, and agrees to comply with, and to avoid any activity that may cause it or AvePoint to violate, applicable anti-bribery and anti- corruption laws including, but not limited to, the U.S. Foreign Corrupt Practices Act of 1977 (15 U.S.C. §§ 78dd-1, et seq.) as amended and the UK Xxxxxxx Xxx 0000 (as applicable) (collectively, “Anti-Corruption Laws”). If Customer takes any action that could constitute a violation of this Section or any Anti- Corruption Laws, AvePoint may immediately terminate this Agreement.

Sanctioned Territory means at any time, a country or territory which is, or whose government is, the subject of Sanctions broadly prohibiting dealings with such country, territory or government (at the time of this Agreement, Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, the so-called Donetsk People's Republic and the so-called Luhansk People's Republic).
