Share Interest definition

Share Interest means a Party's percentage of share interest in the JVC, in the case of Party A, 20% of shares in the capital of the JVC and, in the case of Party B, 80% of shares in the capital of the JVC, as adjusted from time to time. "Subsidiaries" means any individual, partnership, joint venture, companies or any other business entities controlled directly or indirectly by a Party. "Term" means the Term of the JVC as defined in Article 18 herein. "Total Investment" means the total investment by the Parties as referred to in Article 19 herein. "Work Days" means all the days in a year less Saturdays, Sundays and the Chinese Statutory Holidays. CHAPTER 3

Examples of Share Interest in a sentence

  • Such transfer, assignment or sale of the Share Interest in the JVC will require the consent of the other Party and approval by the relevant authorities.

  • The net after tax profits or dividends of the JVC shall be distributed pro rata to the Share Interest of the Parties.

  • Each Party warrants that such transfer, assignment or sale of Share Interest in the JVC will not affect the Share Interest of the other Party.

  • Where this Contract expires or is terminated pursuant to the Articles, the JVC shall: (1) liquidate the assets, pay all debts, and distribute any balance to the Parties pro rata to Share Interest.
