Service Provider Tools definition

Service Provider Tools has the meaning set out in clause 25.11.2.
Service Provider Tools means the tools defined in Clause 7.5. Platform Means the pooled e-commerce Platform designed and developed for the purposes of GO SPORT FRANCE, including the base Functionalities and Specific Developments expected by GO SPORT FRANCE according to the Schedule (1-A) and specifications (1-B) appearing in Contract Appendix 1, including a technical tool and services allowing correct operation of the Functionalities and services offered by the Platform as detailed below in Clause 5.
Service Provider Tools means (a) any and all ideas, concepts, know-how, development tools, methodologies, processes, procedures, technologies or algorithms that are based upon trade secrets or proprietary information of Service Provider and used in connection with the Customer Services and listed on Schedule E in accordance with Section 5.10, as such Schedule may be modified by agreement of the Parties from time to time during the Term, and (b) any New Tools that are owned by Service Provider in accordance with the provisions of Section 12.3 of this Agreement.

Examples of Service Provider Tools in a sentence

  • Sub-contractor means those sub-contractors to the Service Provider approved in accordance with clause 17 and excludes, for the avoidance of doubt, any COTS Vendors, Affiliates of the Service Provider or suppliers of Service Provider Tools.

  • Schedule 16 (Software and Tools) sets forth the Service Provider Software and Service Provider Tools that Service Provider anticipates Service Provider will use to provide the Services as of the Effective Date.

  • Service Provider makes no representations or warranties hereby with respect to the Service Provider Tools.

  • Upon request at expiration or termination of this Agreement, each Party will (A) promptly return to the other Party all of the Confidential Information of the other Party and (B) erase or destroy all of the Confidential Information of the other Party in its possession, except, with respect to Dxxx, such Confidential Information of Service Provider contained in the Service Provider Software or the Service Provider Tools licensed to the Dxxx Group Companies after such expiration or termination.

  • Customer hereby irrevocably assigns to Service Provider any and all rights or interests in the Service Provider Tools.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Internet Service Provider (ISP) means an Enhanced Service Provider (ESP) that provides Internet Services.

  • Local Service Provider (LSP means the LEC that provides retail local Exchange Service to an End User. The LSP may or may not provide any physical network components to support the provision of that End User’s service.

  • The Service Provider means the organization or firm providing the services under this Contract.

  • Internet Service Provider (ISP) is an Enhanced Service Provider that provides Internet Services, and is defined in paragraph 341 of the FCC’s First Report and Order in CC Docket No. 97-158.

  • Service Provider means an Employee, Director or Consultant.

  • Company Service Provider means an employee, individual consultant, individual independent contractor, individual self-employed contractor, leased or temporary employee or director of the Company or any of its Subsidiaries.

  • Home service provider means the facilities-based carrier or reseller with which the customer contracts for the provision of mobile telecommunications services.

  • Third Party Service Provider means any consultant, agent, advisor, or independent contractor who renders services to the Company, a Subsidiary, or an Affiliate that (a) are not in connection with the offer and sale of the Company’s securities in a capital raising transaction, and (b) do not directly or indirectly promote or maintain a market for the Company’s securities.

  • Local Service Provider (LSP) is the LEC that provides retail local Exchange Service to an End User. The LSP may or may not provide any physical network components to support the provision of that End User’s service.
