Secured Facilities definition

Secured Facilities means one or more secured facilities with an aggregate maximum commitment and outstanding amount at any time not to exceed the sum of (a) NOK 1.400.000.000 or the equivalent thereof in any other currency; and (b) up to NOK1.000. 000.000 (or its equivalent in other currencies) incurred for the sole purpose of financing a Permitted Acquisition.

  • To the extent collateral is released from securing the Senior Secured Facilities, the First Lien Notes, the Senior Secured Notes and the 1.5 Lien Notes, the liens on such assets (but not proceeds therefrom) securing the PIK Notes will also automatically be released.

  • All obligations under the Senior Secured Facilities are unconditionally guaranteed by CEVA, each of the borrowers under the Senior Secured Facilities and certain of CEVA's and their direct and indirect subsidiaries, subject to certain legal and tax limitations.

  • The 1.5 Lien Notes are jointly and severally guaranteed on a senior basis by each of CEVA's existing and future wholly owned subsidiaries that guarantee the Senior Secured Facilities.

Related to Secured Facilities

  • Shared Facilities means the gentie lines, transformers, substations, or other equipment, permits, contract rights and obligations, and other assets and property (real or personal), in each case, as necessary to enable delivery of energy from Seller’s electric generating facility (which is excluded from this definition of Shared Facilities) to the Point of Interconnection that are used in common with other entities, as applicable.

  • Debt Facilities means one or more debt facilities (including, without limitation, the Credit Agreement) or commercial paper facilities with banks or other institutional lenders providing for revolving credit loans, term loans, receivables financing (including through the sale of receivables to such lenders or to special purpose entities formed to borrow from such lenders against such receivables) or letters of credit or issuances of debt securities evidenced by notes, debentures, bonds or similar instruments, in each case, as amended, restated, modified, renewed, refunded, replaced or refinanced (including by means of sales of debt securities) in whole or in part from time to time (and whether or not with the original administrative agent, lenders or trustee or another administrative agent or agents, other lenders or trustee and whether provided under the original Credit Agreement or any other credit or other agreement or indenture).

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Wastewater facilities means the structures, equipment, and processes required to collect, carry away, and treat domestic and industrial wastes and dispose of the effluent.

  • Other Facilities means athletic stadiums, swimming pools, any associated structures or related equipment tied to such facilities including, but not limited to, grandstands and night field lights, greenhouses, facilities used for non-instructional or non-educational purposes, and any structure, building, or facility used solely for school administration;

  • Bank Facilities means any overdraft limits or credit facility available to you and their associated terms;

  • Generating Facilities means Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities. Generation Interconnection Customer:

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.

  • Project Facilities means the facilities, equipment and vehicles provided under the Project;

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.
