The Executive agrees to notify the Company promptly in the event the Executive learns of any violation of the foregoing by others, or of any other misappropriation or unauthorized access, use, reproduction, or reverse engineering of, or tampering with any Facilities and Information Technology Resources or other Company property or materials by others.
Landlord shall provide at no cost, and so long as there is no Event of Default, Tenant shall be permitted to use, vehicular parking spaces (including visitor and handicap) in the unreserved parking area associated with the Building at a ratio of 5.25 spaces per 1,000 rentable square feet (the “Parking Facilities”) during the Term at no charge and subject to such terms, conditions and regulations as are from time to time applicable to patrons of the Parking Facilities.

The Executive agrees and covenants (a) to comply with all Company security policies and procedures as in force from time to time (“Facilities and Information Technology Resources”); (b) not to access or use any Facilities and Information Technology Resources except as authorized by the Company; and (iii) not to access or use any Facilities and Information Technology Resources in any manner after the termination of the Executive’s employment by the Company, whether termination is voluntary or involuntary.
Incremental Facilities will rank either pari passu or junior in right of payment with the Amendment No. 12 Term Loans and will be either unsecured or secured by Liens that secure the Amendment No. 12 Term Loans on a pari passu or junior basis, in each case as set forth in the applicable Incremental Facility Amendment.
