Facilities means any and all real property (including all buildings, fixtures or other improvements located thereon) now, hereafter or heretofore owned, leased, operated or used by Holdings or any of its Subsidiaries or any of their respective predecessors or Affiliates.

• Incremental Facilities will rank either pari passu or junior in right of payment with the Amendment No. 12 Term Loans and will be either unsecured or secured by Liens that secure the Amendment No. 12 Term Loans on a pari passu or junior basis, in each case as set forth in the applicable Incremental Facility Amendment.
