Relocation revenue definition

Relocation revenue means the ad valorem taxes, other than the school and fire district portions of ad valorem taxes, from real property, Kentucky individual income tax, Kentucky sales and use taxes, local insurance premium taxes, occupational license fees, and other such state taxes as specified in the grant contract, received by a taxing district attributable to that portion of the existing operations of the primary project entity located in the Commonwealth and relocating to the development area satisfying the requirements of KRS 65.6972;
Relocation revenue means (i) the net proceeds (after payment of all Taxes and associated expenses) received by the Relocating Company from (A) the sale, transfer or disposal of any Real Property owned by the Relocating Company on which the relevant Relocated Asset is currently situated which was sold, transferred or disposed as part of the relocation process, and (B) the sale, transfer or disposal of any facility and equipment used by the Relocated Asset prior to the relocation, in each case sold in accordance with the Agreed Relocation plan to the extent such equipment is not required for the construction and operation of the new facility after relocation; and (ii) compensation and subsidies received from the government solely as a result of the relocation, Tax refunds and tax benefits enjoyed by the Relocating Company as a direct result of the relocation and linked exclusively to the relocation and any other revenue received by the Relocating Company from a Governmental Authority or a third party directly as a result of the relocation. For the avoidance of doubt, Relocation Revenue shall not include any subsidies, tax refunds, tax benefits or compensation linked to product advantages, technology upgrades, capacity expansion or similar reasons and not directly related to the relocation.
Relocation revenue means the prior year tax revenue received by a city, county, state, or other taxing district other than a school district, attributable to that portion of the operations of any existing business located in the Commonwealth which is relocating to a development area.

Gross Operating Revenues shall be reduced by credits or refunds to guests at such Hotel Property.

Additionally, Grantee agrees that Gross Revenues subject to franchise fees shall include all commissions, rep fees, Affiliated Entity fees, or rebates paid to National Cable Communications (“NCC”) and Comcast Spotlight (“Spotlight”) or their successors associated with sales of advertising on the Cable System within the Town allocated according to this paragraph using total Cable Service subscribers reached by the advertising.

(as determined by Lender) is not less than such entity's net worth as of September 30, 2003), or are not in occupancy, open for business or paying unabated Rent, (ii) sales, use and occupancy or other taxes on receipts required to be accounted for by Borrower to any Governmental Authority, (iii) refunds and uncollectible accounts, (iv) sales of furniture, fixtures and equipment, (v) Insurance Proceeds (other than business interruption or other loss of income insurance), (vi) Awards, (vii) unforfeited security deposits, (viii) utility and other similar deposits and (ix) any disbursements to Borrower from the Reserve Funds. Gross income shall not be diminished as a result of the Mortgage or the creation of any intervening estate or interest in the Property or any part thereof.
