Draw Package definition

Draw Package means all of the fully signed (and, as applicable, witnessed and notarized so as to be in recordable form), certificates, sworn statements, affidavits, waivers, releases, terminations, W-9 forms and other materials and documents relating to requested payments to the Contractor or any Subcontractor or material supplier, and such other items and dollar amounts requested under any Disbursement Request so that the Escrowee and Title Insurer will have all required documents and materials necessary to review and approve a Disbursement Request and issue a Disbursement Endorsement as contemplated under the Disbursement Agreement. Each Draw Package must, at a minimum, include: (a) the documents referenced in Exhibits Y-1 – Y - 6, (b) statements, affidavits, waivers, releases, terminations, and any other document or item which shall be accurate, fully completed and duly executed (and, as applicable, witnessed and notarized so as to be in recordable form), (c) all certifications, exhibits, attachments, schedules, appendices and certificates, and (d) a list and copies of any and all “Notices to Owner” received by the Borrower, the Contractor or their affiliates not previously delivered to the Escrowee.

Examples of Draw Package in a sentence

Upon receipt of a completed Draw Package in form and substance satisfactory to Fund Control Agent and Lender, if so directed by Lender in writing, Fund Control Agent shall make Advances from the Fund Control Account relating to the Mortgaged Property pursuant to the terms set forth below.

To request an Advance, Borrower shall deliver a Draw Package to Administrative Agent by electronic communication as provided in Section 11.01 hereof, not later than 11:00 a.m., New York City time, 10 Business Days before the date of the proposed Advance.

Amounts deposited into the Facility Lessee CONFIDENTIAL TREATMENT REQUESTED – REDACTED COPY Construction Account established by the Collateral Account Pledge Agreement shall be deemed fully made to Facility Lessee on the date of such deposit; and such amounts shall be disbursed by Collateral Agent directly to Proton System Supplier as directed in the Draw Package.

For each calendar month commencing January, 2011, and continuing through December 31, 2012, within five (5) Business Days following Lender’s receipt of the Draw Package (unless Lender has reasonably disapproved the same), Lender will disburse to Borrower the disbursement amount requested by Borrower, subject, however, to the maximum disbursement amounts described in Section 3.6(c)(4) below.

Borrower agrees to cause the proceeds of each Advance to be applied for the Building Costs specified in the applicable Draw Package and approved for disbursement and for no other purposes.

Copies of permits and copies of evidence of inspection and acceptable completion for any Improvements listed in the Draw Package which require a permit or inspection by applicable Governmental Requirements.

Each foregoing monthly reconciliation and corresponding Officer’s Certificate is referred to collectively herein as the “Pre-Funding Reconciliation.” Lender shall have the right to review and reasonably verify the content (and supporting calculations and data) set forth in the Reconciliation Report and other materials and information contained in the Draw Package.

Administrative Agent shall have received a Draw Package in accordance with the provisions of Section 2.04(a) hereof.

No later than seven business days prior to any request for an Advance, a completed Draw Package delivered to Fund Control Agent and Lender.

Notwithstanding anything herein to the contrary, however, Lender’s making of any monthly disbursement shall not be deemed an approval of the Pre-Funding Reconciliation or any other information in the Draw Package, and Lender shall have the right at any time to request additional information from Borrower with respect to prior months and to make adjustments for prior months.


More Definitions of Draw Package

Draw Package means the draw package constituting the documents and other items set forth on Schedule 6.9(b) hereto. Common Member shall submit each Draw Package in accordance with the provisions of Section 6.9.

Related to Draw Package

Draw Request means a notice in the form of Exhibit "B" given by the Borrower to the Agent for the purpose of requesting an Advance.
First draw sample means a one (1) liter sample of tap water, collected in accordance with Section 22.607G2b, that has been standing in plumbing pipes at least six (6) hours and is collected without flushing the tap.
Project Preparation Advance means the project preparation advance Granted by the Association to the Borrower pursuant to the letter agreement signed on behalf of the Association on October 10, 2001 and on behalf of the Borrower on November 6, 2001.
Original package means any receptacle or container used or labeled by the manufacturer of the substance, containing any alcoholic liquors or malt beverages.
Application package means the forms, documents, and fees that the Board requires an applicant to submit or have submitted on the applicant’s behalf.
Advance Request means a request for an Advance submitted by Borrower to Lender in substantially the form of Exhibit A.
Loan Transmittal Summary Forms means the forms related to each Bill of Sale provided to SLM ECFC by Funding and completed by SLM ECFC that list, by Borrower, (i) the Loans subject to the related Bill of Sale and (ii) the outstanding Principal Balance and accrued interest thereof as of the Statistical Cutoff Date, in the case of the Initial Loans, or as of the related Subsequent Cutoff Date, in the case of any Additional Loan or Substituted Loan.
Construction Drawings means the final architectural plans and specifications, and engineering plans and specifications, for the real property improvements to be constructed by Tenant in the Premises in sufficient detail to be submitted for governmental approvals and building permits and to serve as the detailed construction drawings and specifications for the contractor, and shall include, among other things, all partitions, doors, HVAC (heating, ventilating and air conditioning systems) distribution, ceiling systems, light fixtures, plumbing installations, electrical installations and outlets, telephone installations and outlets, any other installations required by Tenant, fire and life-safety systems, wall finishes and floor coverings, whether to be newly installed or requiring changes from the as-is condition of the Premises as of the date of execution of the Lease;
Request for Loan means a written request for a Loan substantially in the form of Exhibit G, signed by a Responsible Official of Borrower, on behalf of Borrower, and properly completed to provide all information required to be included therein.
Contract Drawings means only those drawings specifically entitled as such and listed in the Specifications or in any Addendum, or any drawings furnished by the Commissioner, pertaining or supplemental thereto.
Disbursement Request means a disbursement request from the Borrower to the Agent and the Trustee in the form attached hereto as Exhibit D in connection with a disbursement request from the Unfunded Exposure Account in accordance with Section 2.04(d) or a disbursement request from the Principal Collection Account in accordance with Section 2.21, as applicable.
Correctional facility means a facility operated under the management and control of the Virginia Department of Corrections.
Construction Loan means a loan for a maximum of two years for the purpose of construction.
Initial Advance means the first Advance made pursuant to Article II.
Loan Application means the application for the Mortgage Loan submitted by Borrower to Lender.
Construction Budget means the fully-budgeted costs for the acquisition and construction of a given parcel of real property (including, without limitation, the cost of acquiring such parcel of real property, reserves for construction interest and operating deficits, tenant improvements, leasing commissions, and infrastructure costs) as reasonably determined by the Parent in good faith.
Acoustic Assessment Report means the report, prepared in accordance with Publication NPC-233 and Appendix A of the Basic Comprehensive User Guide,by HGC Engineering and dated August 22, 2008 submitted in support of the application, that documents all sources of noise emissions and Noise Control Measures present at the Facility and includes all up-dated Acoustic Assessment Reports as required by the Documentation Requirements conditions of this Certificate to demonstrate continued compliance with the Performance Limits following the implementation of any Modification.
Monthly Progress Report means the report similar in form and content attached hereto as Appendix III.
Shop Drawing means any and all drawings, diagrams, layouts, explanations, illustrations, manufacturer's drawings or other written or graphic materials which illustrate any portion of the construction work.
Responsive Bid means a bid submitted in response to this solicitation that conforms in all material respects to this IFB.
Responsive bidder means a person who has submitted a bid that conforms in all material respects to the Invitation to Bid.
Eligible Project Costs means such portion of the Project costs disbursed and loaned from the OPWC to the Recipient for the sole and express purpose of acquiring, constructing, reconstructing, expanding, improving, engineering and equipping the Project, other direct expenses, and related financing costs thereto.
Punch List means the list of items, prepared in connection with the inspection of the Project by the Owner’s Representative or Architect in connection with Substantial Completion of the Work or a portion of the Work, which the Owner’s Representative or Architect has designated as remaining to be performed, completed or corrected before the Work will be accepted by the Owner.
Physical Conditions Report means, with respect to the Property, a report prepared by a company satisfactory to Lender regarding the physical condition of the Property, satisfactory in form and substance to Lender in its sole discretion, which report shall, among other things, (a) confirm that the Property and its use complies, in all material respects, with all applicable Legal Requirements (including, without limitation, zoning, subdivision and building laws) and (b) include a copy of a final certificate of occupancy with respect to all Improvements on the Property.
Work Package means a major sub-division of the proposed project.
Completion Bonds means Bonds issued pursuant to a Supplemental Indenture ranking on parity with the Series of Bonds issued under such Supplemental Indenture, the proceeds of which are to be used to complete the Project.
