Director Fee definition

Director Fee means the cash amount, if any, a Nonemployee Director shall be entitled to receive for serving as a director of the Company in any fiscal year.
Director Fee means that portion of a Director’s Cash Compensation that is fixed and paid without regard to attendance at meetings.

  • The grant of options under the Director Fee Option Grant Program shall in no way affect the right of the Corporation to adjust, reclassify, reorganize or otherwise change its capital or business structure or to merge, consolidate, dissolve, liquidate or sell or transfer all or any part of its business or assets.

  • The remaining terms of each option granted under this Director Fee Option Grant Program shall be the same as the terms in effect for option grants made under the Discretionary Option Grant Program.

More Definitions of Director Fee

Director Fee means, for purposes of this Plan, the amount paid by the Company during the Deferral Period which is earned by a Participant. Such Director Fee includes all forms of Board compensation other than expense reimbursements or any form of non-cash compensation and benefits, if any.
Director Fee means fees payable for the performance of duties as a director of the Company, but shall not include meeting or committee fees or expense reimbursements paid to a director.
