Where a Variable Performance Fee linked to a Dividend Crystallization Event is capped as a result of the Dividend Performance Fee Cap, then there will be no additional Performance Fee paid on account of any subsequent Dividend Crystallization Events until the end of the relevant Fiscal Year.
The Investment Manager will provide evidence to the reasonable satisfaction of the Board prior to the declaration of any Dividend that the payment of any Variable Performance Fee resulting from the relevant Crystallization Event will not exceed the Dividend Performance Fee Cap.
