Board Compensation. As compensation for the services provided herein, the Company shall pay to Director, so long as Director continues to fulfill Director’s duties and to provide services pursuant to this Agreement, quarterly compensation at the initial rate of $7,500.

Board Compensation. For the services provided to the Company as a director, the Director will be entitled to the compensation provided for in the Director Compensation Plan of the Company, as such plan may be amended, modified or replaced from time to time.

Board Compensation. The Executive shall be entitled to receive ------------------ any fees or additional payments for serving as a member of the Board or as a member of any board of directors (or the equivalent thereof) of any subsidiary of the Company to the extent provided to other directors of the Company or applicable subsidiary; provided, however, that the Executive shall not be entitled to fees for serving on any committee or subcommittee of the Board or board of directors (or the equivalent thereof) of any subsidiary.
Board Compensation. The Members by Supermajority Approval shall have the authority to fix the compensation, if any, of the Directors, and the Company’s officers, which compensation shall be an expense of the Company incurred in the ordinary course of business. The Directors shall be reimbursed their reasonable travel and other associated, reasonable, out-of-pocket expenses incurred in connection with their service to the Company upon submission to the Company of appropriate supporting documentation of such expenses.
Board Compensation. You acknowledge that for so long as you are employed as Executive Chair (or in any other employment position with the Company), you will not receive any cash or equity compensation as a non-employee member of the Board. Should you cease to be Executive Chair (or any other employment position with the Company), but remain a non-employee member of the Board, you will be entitled to receive the annual cash and equity compensation payable to non-employee directors generally, but you would not receive an initial three-year equity incentive grant.
