Cash and Investments definition

Cash and Investments or “Cash on Hand” means the sum of the following assets of a Borrowers: (a) unrestricted cash and cash equivalents; plus (b) liquid investments and unrestricted marketable securities (valued at the lower of cost or market) of the Borrowers and the accrued interest thereon.
Cash and Investments means cash, cash equivalents, short-term investments and marketable equity securities (in each case, as would be reflected within the financial statement captions on HLTH’s consolidated balance sheet entitled “cash and cash equivalents”, “short-term investments” and “marketable equity securities”) and any other investments of similar marketability and liquidity in which HLTH and WebMD may invest their cash from time to time in the Ordinary Course. For purposes of this definition, “Cash and Investments” shall include 70% of the principal amount of the WebMD Auction Rate Securities held by WebMD and the WebMD Subsidiaries at the Effective Time.
Cash and Investments means the sum of cash, cash equivalents and marketable securities of the Borrower including the undrawn amount of any letter of credit issued in accordance with Section 5.11 hereof and amounts, if any, on deposit in the Operating Reserve Fund, the Repair and Replacement Fund, the Surplus Fund, the Liquidity Support Fund, the Insurance and Tax Fund and the Operating Account, but excluding (a) Trustee-held funds other than those described above in this definition, (b) restricted funds, including undrawn amount of any letter of credit issued in accordance with Section 5.11 hereof, and (c) any funds pledged or otherwise subject to a security interest for debt other than the Bonds, as shown on the most recent audited or unaudited financial statements of the Borrower.

Cash and Investments means cash, cash equivalents, instruments, investments and securities, including Permitted Investments.

Any amounts on deposit in a Debt Service Reserve Fund created under the Series 2021 Bond Indenture and any other debt service reserve fund created under a Related Bond Indenture, shall be excluded from the calculation of Cash and Investments for the purposes of determining the number of Days Cash on Hand of the Obligated Group.
Cash and Investments means, with respect to any Person, the sum of all cash, cash equivalents and unencumbered marketable or liquid investments, whether classified as current or noncurrent assets, held by or for the account of such Person for any of its corporate purposes, but excluding trustee-held funds, reserves and deposits, such as debt service funds, construction funds, reserve funds, malpractice funds, litigation reserves, self-insurance and captive insurer funds, pension and retirement funds, and also excluding the amount realized from the sale or factoring of accounts receivable.

Cash and Investments shall include (i) 75% of the principal amount of the HLTH Auction Rate Securities held by HLTH and the HLTH Subsidiaries at the Effective Time and (ii) 70% of the principal amount of the WebMD Auction Rate Securities held by WebMD and the WebMD Subsidiaries at the Effective Time; provided, that if the WebMD Loan Agreement is in full force and effect at the Effective Time and WebMD has satisfied all conditions precedent to permit WebMD to borrow at the Effective Time 75% of the principal amount of the WebMD Auction Rate Securities held by WebMD and the WebMD Subsidiaries at the Effective Time (it being understood that nothing in this proviso shall be deemed to obligate WebMD to borrow any amount under the Loan Agreement at the Effective Time), then Cash and Investments shall include 75% of the principal amount of the WebMD Auction Rate Securities held by WebMD and the WebMD Subsidiaries at the Effective Time.”
