Cash Equivalents and Marketable Securities definition

Cash Equivalents and Marketable Securities means (a) marketable direct obligations issued or unconditionally guaranteed by the United States or any agency or any State thereof having maturities of not more than one (1) year from the date of acquisition; (b) commercial paper maturing no more than one (1) year after its creation and having the highest rating from either Standard & Poor’s Ratings Group or Xxxxx’x Investors Service, Inc., (c) Bank’s certificates of deposit issued maturing no more than one (1) year after issue, and (d) any marketable securities owned and held by Capiler in compliance with Caliper’s approved investment guidelines as of the Effective Date (a copy of which has been delivered to Bank).
Cash Equivalents and Marketable Securities means (i) direct obligations of, or obligations unconditionally guaranteed by, the United States or any agency thereof maturing in less than one year from the date of purchase; (ii) commercial paper bearing one of the two highest investment grades by Moody's Investor's Service, Inc. and/or Standard and Poors Rating Service, a division of McGrxx-Xxxx Xxxpanies, Inc. (iii) certificates of deposit due within one year from the date of purchase, issued by any commercial bank, organized and doing business under the laws of the United States or any state thereof having capital surplus and undivided profits aggregating more than $100,000,000 and otherwise meeting the applicable minimum risk capital levels required by the applicable bank regulatory authority; and (iv) investments in money market funds maintained by the Bank or any other entities reasonably satisfactory to the Bank.
Cash Equivalents and Marketable Securities means as at any date of determination, (i) marketable securities (a) issued or directly and unconditionally guaranteed as to interest and principal by the United States Government or Co) issued by any agency of the United States the obligations of which are backed by the full faith and credit of the United States, in each case maturing within one year after such date; (ii) marketable direct obligations issued by any state of the United States of America or any political subdivision of any such state or any public instrumentality thereof, in each case maturing within one year after such date and having, at the time of the acquisition thereof, the highest rating obtainable from either S&P or Moodx'x; (xii) commercial paper maturing no more than one year from the date of creation thereof and having, at the time of the acquisition thereof, a rating of at least A-1 from S&P or at least P-1 from Moodx'x; (xv) certificates of deposit or bankers' acceptances maturing within one year after such date and issued or accepted by any Lender or Affiliate thereof or by any commercial bank organized under the laws of the United States of America or any state thereof or the District of Columbia having, at the time of acquisition thereof, total assets in excess of $1,000,000,000 and a rating of at least A-1 from S&P and at least P-1 from Moodx'x; (x) shares of any money market mutual fund that (a) has at least 95% of its assets invested continuously in the types of investments referred to in clauses (i), (ii), (iii) and (iv) above, (b) has net assets of not less than $500,000,000, and (c) has the highest rating obtainable from either S&P or Moodx'x; (xi) securities bearing interest or sold at discount by an corporation incorporated under the laws of the United States of America or any state thereof which have a credit rating of at least A from Moodx'x (xx an equivalent rating from S&P) with respect to obligations maturing within six months of such date and at least AA from Moodx'x (xx an equivalent rating from S&P) with respect to obligations maturing more than six months and within twelve months of such date; and (vii) repurchase agreements collateralized by investments referred to in clause (i) above.
