Barbados Security Documents definition

Barbados Security Documents means each of the documents set forth on Schedule 5.10(a), dated as of the Third Restatement Date, as each of such documents may be amended, restated, supplemented or otherwise modified from time to time and additional analogous agreements as may be entered into from time to time in accordance with Section 5.10 and as required by the Collateral Documents.
Barbados Security Documents means the Barbados Charge over Assets and the Barbados Charge over Quotas and any filing, registrations, recording or similar instruments or documents necessary or required in connection therewith by the Collateral Agent or any other Secured Party to record, perfect or otherwise evidence the security interest in the Collateral pledged thereunder.
Barbados Security Documents means each of the documents set forth on Schedule 5.10(a), dated as of the Third Restatement Date, as each of such documents may be amended, restated, supplemented or otherwise modified from time to time and additional analogous agreements as may be entered into from time to time in accordance with Section 5.10 and as required by the Collateral Documents. “Barclays” as defined in the preamble hereto. “Base Rate” means, for any day, a rate per annum equal to the greater of (i) the Prime Rate in effect on such day and (ii) the Federal Funds Effective Rate in effect on such day plus ½ of 1%. Any change in the Base Rate due to a change in the Prime Rate or the Federal Funds Effective Rate shall be effective on the effective day of such change in the Prime Rate or the Federal Funds Effective Rate, respectively; provided, however, that notwithstanding the foregoing, the Base Rate in respect of Tranche B Term Loans shall at no time be less than 1.75% per annum. On any day that Base Rate Loans are outstanding, in no event shall the Base Rate be less than the sum of (i) the Adjusted Eurodollar Rate (after giving effect to the Adjusted Eurodollar Rate “floor” set forth in the definition thereof in the case of Tranche B Term Loans) that would be payable on such day for a Eurodollar Rate Loan with a one-month interest period plus (ii) the difference between the Applicable Margin for Eurodollar Rate Loans and the Applicable Margin for Base Rate Loans. “Base Rate Loan” means a Loan bearing interest at a rate determined by reference to the Base Rate. “Bausch & Lomb Acquisition” means the acquisition of Bausch & Lomb Holdings Incorporated pursuant to the Bausch & Lomb Acquisition Agreement. “Bausch & Lomb Acquisition Agreement” means the Agreement and Plan of Merger (together with all exhibits and schedules thereto, as the same may be amended, restated, amended and restated, supplemented or otherwise modified from time to time, collectively, the “Bausch& Lomb Acquisition Agreement”), dated as of May 24, 2013, among the Borrower, VPI, one of VPI’s wholly owned U.S. domiciled subsidiaries and Bausch & Lomb Holdings Incorporated. “Bausch & Lomb Additional Escrow Amount” means an amount equal to (a) all interest that could accrue on the Bausch & Lomb New Senior Notes from and including the date of issuance thereof to and including - 12 -

Barbados Security Documents means (i) a Barbados law Charge over Shares in the Equity Interests in Concordia Pharmaceuticals Inc. by Concordia Healthcare Corp. and Concordia Healthcare Inc. in favor of the Administrative Agent and Collateral Agent, (ii) a Barbados law Charge over Shares in the Equity Interests in Concordia Laboratories Inc. by Concordia Healthcare Inc. in favor of the Administrative Agent and Collateral Agent, (iii) a Barbados law Debenture/Mortgage by Concordia Pharmaceuticals Inc. in favor of the Administrative Agent and Collateral Agent and (iv) a Barbados law Debenture/Mortgage by Concordia Pharmaceuticals Inc. in favor of the Administrative Agent and Collateral Agent.
Barbados Security Documents mean all agreements, instruments, filings, records, notices and documents (including any collateral and perfection certificates) in or with respect to Barbados executed or delivered pursuant to or in connection with the Collateral.
