By their acceptance of the Notes, the Holders hereby authorize and direct the Trustee and the Information Agent, as applicable, to execute and deliver this Indenture, the Information Agency Agreement, the Collateral Trust Agreement, the Intercreditor Agreement, the Note Security Documents in which the Trustee or the Information Agent is named as a party, including any Note Security Documents executed on or after the Closing Date.
For the avoidance of doubt, the Collateral Trustee will have no discretion under the Note Security Documents and will not be required to make or give any determination, consent, approval, request or direction without an Act of Parity Lien Debtors as provided in the Collateral Trust Agreement.
In the event of any conflict or inconsistency among the provisions of this Indenture or the Note Security Documents, on the one hand, and the Intercreditor Agreement or the Collateral Trust Agreement, on the other hand, the provisions of the Intercreditor Agreement or the Collateral Trust Agreement (as applicable) shall control.
Notwithstanding anything to the contrary contained in the Note Security Documents, no Note Party shall, nor shall it permit any of its Subsidiaries to, consummate any “Division” (as defined in Section 18-217 of the Delaware Limited Liability Company Act) or similar organizational change that may hereafter be permitted under any applicable statute.
The Holders, by accepting a Note, hereby consent to the appointment of Wilmington Savings Fund Society, FSB as the Collateral Trustee acting on behalf of the Parity Lien Secured Party (including the Holders and the Trustee) on the terms and conditions set forth in the Collateral Trust Agreement and the other Note Security Documents.
