Automatic Transfer Employee definition

Automatic Transfer Employee means any employees of the Business who will transfer by operation of the EU Council Directive 2001/23/EC or any regulation, law or code enacted by any EU Member State to implement such directive or which otherwise creates legal obligations on the parties in relation to the transfer of undertakings or any similar Law in any other jurisdiction (a “Transfer Law”).
Automatic Transfer Employee means an Employee, other than a Transferred FH Company Employee, to whom the Transfer Regulations apply.

More Definitions of Automatic Transfer Employee

Automatic Transfer Employee means any person who (i) is employed by Seller Parent or any of its Affiliates (excluding the Business Subsidiaries) as of the date of this Agreement or hired after the date of this Agreement in accordance with this Agreement, and (ii) provides services primarily to or on behalf of the Business in Denmark, Finland, Ireland, Poland and the United Kingdom.
Automatic Transfer Employee means each Business Employee whose employment or contract of employment transfers or is assigned by operation of Law, or would but for the termination of such contract or employment be so transferred or assigned, to Buyer or one of its Affiliates (including as a result of the Acquired Rights or as a result of the Restructuring).
Automatic Transfer Employee shall have the meaning given to such term in Section 9.01(a).
Automatic Transfer Employee means any Newco Employee, where local employment Laws, including but not limited to the Transfer Regulations, provide for an automatic transfer of such employee to Newco by operation of Law upon the transfer of a business as a going concern and such business transfer occurs as a result of the transactions contemplated by the Distribution Agreement.
