Newco Employee definition

Newco Employee means (a) any HomeAdvisor Employee, (b) any Company Employee, and (c) any individual who becomes an employee of any NewCo Entity after the Merger Effective Time.
Newco Employee means each individual who is employed by Everest or any of its Subsidiaries (with respect to the Newco Business) or any of the Newco Companies as of the date on which Everest determines to transfer the employment of applicable individuals to a Newco Company and who Everest determines as of such date is either (i) exclusively or primarily engaged in the Newco Business or (ii) necessary for the ongoing operation of the Newco Business, in each case regardless of whether any such employee is actively at work or is not actively at work as a result of disability or illness, an approved leave of absence (including military leave with reemployment rights under federal Legal Requirements and leave under the Family and Medical Leave Act of 1993), vacation, personal day or similar short- or long-term absence.
Newco Employee means an employee or director of (or any other service provider to) Newco or any of its Subsidiaries, including any employee of an Affiliate of Newco that provides services for the business and operations of Newco and its Subsidiaries, or the Company acting in such capacity; provided that any such employee of the Company is an executive officer of the Company and such employment is directly related to the Company’s status as the holder of the Newco Shares or the Company’s listing on the New York Stock Exchange.

More Definitions of Newco Employee

Newco Employee means the individuals listed on Schedule 2.1(a) of the Employee Matters Agreement for dates between and including the date hereof and the day immediately preceding the Operational Separation Date (as defined in the Employee Matters Agreement), and the Continuing NewCo Employees (as defined in the Employee Matters Agreement) for dates between and including the Operational Separation Date and the Closing Date (treating such individuals for this purpose as if the definition of Continuing NewCo Employees in the Employee Matters Agreement were determined immediately prior to the Closing).
Newco Employee means each current Seller Employee that is engaged in the Spontania Business and who becomes an employee of Newco at the completion of the Spin-Off Transaction, as listed on Appendix B annexed hereto but subject to being approved by Purchaser.

Newco Employee means, as of the Separation Date (i) each employee of Xxxxxxx’x Tektronix Communications business, (ii) each employee of Xxxxxxx’x Arbor Networks business and (iii) each other employee of any member of the Xxxxxxx Group who is determined in accordance with Section 2.10 hereof to be either (A) primarily dedicated to the Communications Business in the ordinary course or (B) required for the ongoing operation of the Communications Business, and in all cases regardless of whether any such employee is actively at work as of the Separation Date or is not actively at work as of Separation Date as a result of disability or illness, an approved leave of absence (including military leave with reemployment rights under federal law and leave under the Family and Medical Leave Act of 1993), vacation, personal day or similar short- or long-term absence.
