Approval of the Management Committee definition

Approval of the Management Committee each mean the consent, decision, determination, judgment, decree, instruction, authorization, waiver, resolution or other approval of the Management Committee acting as a committee, in the Management Committee’s sole and absolute discretion. The Members acknowledge that this Section 2.2 provides the sole method of determining the Approval of the Members and the Approval of the Management Committee; and the Members, to the extent permitted under the Act, hereby waive any right to contest or adjudicate such determination under Section 18-110(b) of the DLLCA.
Approval of the Management Committee. Approval by the Management Committee” or similar phrases means the unanimous approval of the AVB Representatives and ERP Representatives excluding, with respect to any matter as to which a Capital Defaulting Member has no approval rights pursuant to Section 3.4, the Management Committee Representatives appointed by the Capital Defaulting Member.

Unless otherwise restricted by the Certificate or this Agreement, any actions required or permitted to be taken by the Members may be taken at a meeting duly called by the Management Committee on no less than one (1) day notice or may be taken without a meeting if all Members, as the case may be, consent thereto in writing, and the writing or writings are filed with the minutes of the meeting. Any action by Members at a meeting requires the attendance of all Members and a majority vote of all Members present. Unless otherwise restricted by the Certificate or this Agreement, the Members may act in lieu of a meeting by means of a unanimous written consent. The Members acknowledge that this Section 2.2 provides the sole method of determining the Approval of the Members and that Section 2.2 and Article V hereof provides the sole method of determining the Approval of the Management Committee; and the Members, to the extent permitted under the Act, hereby waive any right to contest or adjudicate such determination under Section 18-110(b) of the DLLCA.

Examples of Approval of the Management Committee in a sentence

  • A vacancy in any office because of death, resignation, removal, disqualification or any other cause shall be filled by Approval of the Management Committee.

  • One or more natural persons shall be appointed to each such office, from time to time, by Approval of the Management Committee.

  • The salary and other compensation of each officer shall be fixed by, and any employment agreement between such officer and the Company shall be entered into upon, Approval of the Management Committee.

  • Subject to the rights, if any, of an officer under a contract of employment, any officer may be removed as an officer, either with or without cause, upon Approval of the Management Committee at any time.

  • Upon Approval of the Management Committee, offices may be established or eliminated from time to time, at any time, during the term of the Company.

  • Each officer shall be appointed by, shall serve during and shall be removed upon Approval of the Management Committee, subject to all rights, if any, of an officer under any contract of employment.

  • Upon Approval of the Members (as defined in Section 2.2) and Approval of the Management Committee, the Company may redeem any Member’s Member Interest or any part thereof for the fair value thereof; and upon such redemption, such Member Interest or the redeemed part thereof shall be deemed canceled in accordance with Section 18-702(e) of the DLLCA.

  • An alteration of an Historic Resource that is readily visible from the public street.

  • Upon Approval of the Management Committee (as defined in Section 2.2) at any time during the term of the Company, the Company may issue a certificate evidencing each Member Interest in the Company then outstanding, in accordance with Section 18-702(c) of the DLLCA.

More Definitions of Approval of the Management Committee

Approval of the Management Committee means the approval of not fewer than 3 members of the Management Committee pursuant to Section 5.5(c).

  • Management Committee means in the case of a Competition which is an unincorporated association, the management committee elected to manage the running of the Competition and where the Competition is incorporated it means the Board of Directors appointed in accordance with the articles of association of that company.

  • Procurement Committee means a Committee constituted by the Employer to perform the functions as such under the terms and conditions of Contract.

  • State Management Committee means a Committee comprising representatives from the Confederation of Western Australian Industry, the Trades and Labor Council of Western Australia, Technical and Further Education (TAFE) and the relevant Federal and State Government Departments which approve traineeship arrangements by agreement of each of the parties. The State Management Committee may be established pursuant to the provisions of the Industrial and Commercial Training Act, 1975 or any amendment to or substitution of that Act, provided that any Committee or body established in lieu of the State Management Committee has the same representatives structure and decision making processes as that Committee.

  • Development Committee has the meaning set forth in Article 3 of the Amended and Restated Research and Development Agreement.

  • Supervisory Committee means the Comisión Fiscalizadora of the Company.

  • Investment Committee means the committee in charge of investment aspects of the Plan, as described in Article VII.

  • Advisory Committee means the Employer's Advisory Committee as from time to time constituted.

  • Coordination Committee means the jointly constituted PJM and NYISO committee established to administer the terms and provisions of this Agreement pursuant to Section 35.3.2.

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • Operating Committee means the Operating Committee of Epoch which meets frequently and is responsible for implementing the Company’s strategy, making operational decisions and overseeing the day-to-day running of the Company.

  • Steering Committee has the meaning set forth in Section 2.

  • Medical Advisory Committee means the Medical Advisory Committee established by the Board as required by the Public Hospitals Act;

  • Joint Development Committee or “JDC” has the meaning set forth in Section 3.10.

  • Review Committee or “Committee” means a committee established pursuant to rule Chapter 67-60, F.A.C.

  • Oversight Committee means the committee established to monitor the overall implementation of the Canada-Ontario-AMO-Toronto Agreement.

  • Joint Commercialization Committee or “JCC” has the meaning set forth in Section 3.4 (Joint Commercialization Committee).

  • Coordinating board means the Texas Higher Education Coordinating Board.

  • Regional Committee means the regional committee on school

  • Managing Committee means the individual or the body of individuals entrusted or charged with the management and administration of a private educational institution and where a society, trust, or an association manages more than one such institution, includes the managing committee of each such institution;

  • Project Steering Committee means the committee referred to in Section I.A.1 of Schedule 2 to this Agreement.
