Any member of the Steering Committee may be represented by a qualified proxy if unavailable to attend in person, by telephone or virtual meeting.
Any action by the Steering Committee will require the approval of Affirm and Amazon Services, which approval may be evidenced by email.
Each of Affirm and Amazon Services will have one vote on the Steering Committee, which may be represented by any member of the Steering Committee appointed by such Party.
From and after the Effective Date, the Steering Committee will meet semi-annually (or more frequently as needed by agreement of the Parties) to discuss the Program as described in Section 6.1(B).
The Parties’ initial representatives to the Steering Committee are identified in Schedule 6.1.
