Voluntary Termination, Termination for Cause, Termination for Death or Disability. In the case of a termination of Executive’s employment hereunder for Death or Disability in accordance with Section 1.6.1 above, or Executive’s Voluntary termination of employment hereunder in accordance with Section 1.6.2 above, or a termination of Executive’s employment hereunder for Cause in accordance with Section 1.6.3 above, (i) Executive shall not be entitled to receive payment of, and the Company shall have no obligation to pay, any severance or similar compensation attributable to such termination, other than Base Salary earned but unpaid, accrued but unused vacation to the extent required by the Company’s policies, vested benefits under any employee benefit plan, and any unreimbursed expenses pursuant to Section 1.4.3 or 1.4.4 hereof incurred by Executive as of the Termination Date, and (ii) the Company’s other obligations under this Agreement shall immediately cease.
Voluntary Termination, Termination for Cause, Termination for Death or Disability. In the case of a termination of Executive’s employment hereunder for Death in accordance with Section 6.1 above, or Executive’s Voluntary termination of employment hereunder in accordance with Section 6.3 above, or a termination of Executive’s employment hereunder for Cause in accordance with Section 6.4 above, (i) Executive shall not be entitled to receive payment of, and the Company shall have no obligation to pay, any severance or similar compensation attributable to such termination, other than Base Salary earned but unpaid, accrued but unused vacation to the extent required by the Company’s policies and any non-reimbursed expenses pursuant to Section 4 hereof incurred by Executive as of the termination date, and (ii) the Company’s obligations under this Agreement shall immediately cease except (x) as required by law and (y) as provided in Section 16.1 below. Provided further, in the event of a termination of Executive’s employment hereunder for Cause in accordance with Section 6.4 above, Executive shall tender back to the Company all unexercised options granted to Executive by the Company in connection with Executive’s employment.

In the case of a termination of Executive’s employment hereunder for Death or Disability in accordance with Section 1.5.1 above, or Executive’s Voluntary termination of employment hereunder in accordance with Section 1.5.2 above, or a termination of Executive’s employment hereunder for Cause in accordance with Section 1.5.3 above, or a termination of Executive’s employment hereunder Without Cause in accordance with Section 1.5.4 above that is not in connection with a Change in Control, (i) Executive shall not be entitled to receive payment of, and the Company shall have no obligation to pay, any severance or similar compensation attributable to such termination, other than Base Salary earned but unpaid, vested benefits under any employee benefit plan, and any unreimbursed expenses pursuant to Section 1.4.3 hereof incurred by Executive as of the Termination Date, and (ii) the Company’s other obligations under this Agreement shall immediately cease.

In the case of a Voluntary Termination of Consulting Executive's employment hereunder in accordance with Section 6.1 above, or a termination of Consulting Executive's employment hereunder for Cause in accordance with Section 6.2 above, (i) Consulting Executive shall not be entitled to receive payment of, and the Company shall have no obligation to pay, any severance or similar compensation attributable to such termination, other than Base Compensation earned but unpaid, accrued but unused vacation to the extent required by the Company's policies and any non-reimbursed expenses pursuant to Section 4 hereof incurred by Consulting Executive as of the termination date, and (ii) the Company's obligations under this Agreement shall immediately cease. Provided further, in the event of Consulting Executive's Voluntary termination of employment hereunder in accordance with Section 6.1 above, or a termination of Consulting Executive's employment hereunder for Cause in accordance with Section 6.2 above, Consulting Executive shall tender back to the Company all unvested options granted to Consulting Executive by the Company in connection with Consulting Executive's employment.
Voluntary Termination, Termination for Cause, Termination for Death or Disability. Upon termination of the Employee’s employment hereunder pursuant to a Voluntary Termination, a Termination for Cause or Death or Disability, neither the Employee nor his beneficiaries or estate will have any further rights or claims against the Company under this Agreement except the right to receive: (i) the unpaid portion of his then-current base salary provided for in Section 4(a) hereof, computed on a pro rata basis to the date of termination; and (ii) reimbursement for any unreimbursed expenses as provided in Section 4(e) hereof. Nothing in this Agreement shall restrict or limit the right of the Compensation Committee or the Board to determine whether the forfeiture provisions of any of the Company’s stock option or incentive compensation plans apply to vested stock options or stock awards held by the Employee at the time of any Termination for Cause. In the event of any Voluntary Termination or Termination for Cause, the non-compete covenant set forth in Section 8(a) of this Agreement shall continue in full force and effect until December 31, 2009.

In the case of Employee's Voluntary Termination of employment hereunder in accordance with Section 6.3 above or a termination of Employee's employment hereunder for Cause in accordance with Section 6.4 above, (a) Employee shall not be entitled to receive payment of, and the Company shall have no obligation to pay, any severance or similar compensation attributable to such termination, other than salary earned but unpaid, accrued but unused vacation to the extent required by the Company's policies, vested benefits under any employee benefit plan, and any unreimbursed expenses pursuant to Section 5.6 hereof incurred by Employee as of the Termination Date, (b) the Company will not be obligated to make any further payments on the Earn-Out (as defined in Agreement and Plan of Merger dated July ___, 2005 by and among Standard Management Corporation, Rainier Acquisition Corporation, the Company, Employee, Cynthia J. Wareing-Tran and The Jonathan Tran Irrevocable Trust, u/a/x 0/00/0000 ("XXXXXX XGREEMENT"), xxx (x) xxe Company's obligations under this Agreement shall immediately cease.
