Termination for Cause; Resignation Without Good Reason; Death or Disability. (i) The Company may terminate Executive’s employment with the Company at any time for Cause. Further, Executive may resign at any time without Good Reason. Executive’s employment with the Company may also be terminated due to Executive’s death or disability.

Under these circumstances, Executive will not be entitled to any other form of compensation, including any Severance Benefits or Change in Control Severance Benefits, other than Executive’s rights to the vested portion of Executive’s Option and any other rights to which Executive is entitled under the Company’s benefit programs.

Under these circumstances, you will not be entitled to any other form of compensation from the Company, including the Non-CIC Severance Benefits, the CIC Severance Benefits, or any other severance benefits, other than your rights to the vested portion of any equity and any other rights to which you are entitled under the Company’s benefit programs.

Termination for Cause; Resignation Without Good Reason; Death or Disability. (i) If the Executive’s employment is terminated by the Company for Cause (as defined below in this Section) or if the Executive resigns from his employment without Good Reason (as defined below in this Section) or if the Executive’s employment hereunder terminates due to death, prior to the expiration of the Term, the Executive shall be entitled to receive:
Termination for Cause; Resignation Without Good Reason; Death or Disability. If, during the Term, (a) the Executive’s employment is terminated by the Company for Cause (as defined below), (b) the Executive resigns without Good Reason (as defined below), or (c) the Executive’s employment with the Company ends due to the Executive’s death or “permanent and total disability” (within the meaning Section 22(e)(3) of Internal Revenue Code of 1986, as amended (the “Code”)), then the Executive shall only be entitled to any earned but unpaid Base Salary, as well as any other amounts or benefits owed to the Executive under the terms of any employee benefit plan of the Company (the “Accrued Benefits”). For purposes of this Agreement, the Accrued Benefits shall include any accrued paid time off pursuant to the Company’s policy and practices. The Accrued Benefits shall be payable upon the Executive’s termination within the time provided by law.

Furthermore, Executive will not be eligible for, or entitled to, any severance benefits listed in Section 7.2.1 or Section 7.2.3 above if Executive’s employment terminates for any reason prior to the first year anniversary of the Effective Date.
