Termination Procedure/Assistance. Upon termination of this Agreement whether by expiration of its term or by reason of default of a Party, the Contractor will return any assets owned by the Client. The Client shall return the software and all materials and manuals and any copies of them to the Contractor and shall certify, under the hand of authorized officer of the Client, that the original and all copies of software in computer memory have been destroyed, and that no copies of any part of software, in any form, remain in the possession or control of the Client. Notwithstanding sections 7.1, 7.2, and 7.3, either of the Parties may by way of xxx calendar days written notice to the other, terminate this Agreement. If either Party provides notice under this section, the Parties shall use best efforts to make alternative arrangements for the transition of programs and services. After receipt of a notice of termination, and except as otherwise directed by the Client, the Contractor shall:  Stop work under this Agreement on the date, and to the extent specified, in the notice;  Place no further orders or subcontracts for materials, services, or facilities except as may be necessary for completion of such portion of the work under this Agreement that is not terminated;  Take such action as may be necessary, or as the Client’s Agreement administrator may direct, for the protection and preservation of the property related to this Agreement which is owned by the Client and in the possession of the Contractor.  Transfer all data owned by the Client to the Client within thirty (30) calendar days of the termination date. The Contractor will provide all Client data in a format specified by the Client.  The Contractor shall certify, within thirty (30) calendar days of the termination date, under the hand of the authorized officer of the Contractor, that all data owned by the Client has been returned to the Client.  The Contractor shall provide written certification of the return to the Client of all customer confidential information gathered under this Agreement, as well as written confirmation that the same customer confidential information has been removed from the Contractor’s records.

  • Termination Assistance Upon nearing the end of the final term or termination of this Agreement, without respect to cause, the Party shall take all reasonable and prudent measures to facilitate any transition required by the State. All State property, tangible and intangible, shall be returned to the State upon demand at no additional cost to the State in a format acceptable to the State.

  • Termination Procedure Regardless of basis, in the event of suspension or termination (in full or in part), the parties shall cooperate to ensure an orderly and efficient suspension or termination. Accordingly, Contractor shall deliver to Purchasers all goods and/or services that are complete (or with approval from Enterprise Services, substantially complete) and Purchasers shall inspect, accept, and pay for the same in accordance with this Master Contract and the applicable Purchase Order. Unless directed by Enterprise Services to the contrary, Contractor shall not process any orders after notice of suspension or termination inconsistent therewith.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this Contract, except for those terms or conditions that do not reasonably apply to such transition assistance. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates. If State terminates a project or this Contract for cause, then State may offset the cost of paying Contractor for the additional resources Contractor utilized in providing transition assistance with any damages State may have sustained as a result of Contractor’s breach.

  • EMPLOYMENT ASSISTANCE I understand that the College has not made and will not make any guarantees of employment or salary upon my graduation. The College will provide me with placement assistance, which will consist of identifying employment opportunities and advising me on appropriate means of attempting to realize these opportunities. I authorize HCI College’s representatives to contact potential employers for the purpose of advocating on my behalf and release my name and job application materials, including, but not limited to, my cover letter, resume, and transcript to prospective employers.   • Dependent Care Assistance Program The County offers the option of enrolling in a Dependent Care Assistance Program (DCAP) designed to qualify for tax savings under Section 129 of the Internal Revenue Code, but such savings are not guaranteed. The program allows employees to set aside up to five thousand dollars ($5,000) of annual salary (before taxes) per calendar year to pay for eligible dependent care (child and elder care) expenses. Any unused balance is forfeited and cannot be recovered by the employee.

  • Dependent Care Assistance Plan An employee may designate an amount per calendar year, from earnings on which there will be no federal income tax withholding for dependent care assistance (as defined in Section 129 of the Internal Revenue Code as amended from time to time.)

  • Education Assistance The lay-off may be eligible to apply for this option if:

  • Tuition Assistance Bargaining unit employees can enroll in university or college, vocational technical school or extension courses. The course may be by correspondence or attendance at classes during non-working hours or during working hours with approval of the Agency Head and/or his/her Designee. Where practicable, in relation to work requirements, the Employer shall be liberal with the approval of requests for accrued/unused vacation leave, flex-time scheduling, compensatory time, or leave without pay for the purpose of enabling employees to attend classes conducted during an employee's regularly scheduled work hours.
