Termination Assistance definition

Termination Assistance means the activities to be performed by the Supplier pursuant to the Exit Plan, and any other assistance required by the Customer pursuant to the Termination Assistance Notice;

Termination Assistance means the Services to be provided by the Service Provider in the event of and/or in the lead in to the termination (in whole or in part) or expiry of the Agreement as further described in clause 37 (Termination Assistance) and Schedule 15 (Exit Plan and Transfer Arrangements).

Termination Assistance means those Services, resources and facilities to be provided by the Contractor, upon the Bank’s request, to assist the Bank in relation to the termination or expiry of this Contract as provided in Schedule 9.

Examples of Termination Assistance in a sentence

• The representations and warranties that Contractor makes in this Section 3 shall be true and accurate as of the Effective Date, and shall remain true during the term of this Agreement and the Termination Assistance Period.

• Termination Assistance Services will be provided to the JBE by Contractor regardless of the reason for termination or expiration.

• Risk in the Transferring Assets shall pass to the Customer or the Replacement Supplier (as appropriate) at the end of the Termination Assistance Period and title to the Transferring Assets shall pass to the Customer or the Replacement Supplier (as appropriate) on payment for the same.

• The Customer shall have the right to terminate its requirement for Termination Assistance by serving not less than (20) Working Days' written notice upon the Supplier to such effect.

• At the JBE’s option and election, the JBE may extend the Termination Assistance Period for an additional six (6) months.
