Subscriber Billing Services. Seller will provide to Buyer, upon --------------------------- request, on terms and conditions reasonably satisfactory to each party, access to and the right to use its billing system computers, software and related fixed assets in connection with the Systems acquired by Buyer for a period of up to 90 days following the Closing to allow for conversion of existing billing arrangements ("Transitional Billing Services"); provided however that Buyer will not be required to pay Seller more than Seller's actual cost of providing such service. Buyer will notify Seller at least 10 days prior to the expected Closing Date as to whether it desires Transitional Billing Services from Seller.
Subscriber Billing Services. Seller will provide to Buyer --------------------------- on terms and conditions reasonably satisfactory to each party, access to and the right to use its billing system computers, software and related fixed assets in connection with the Systems acquired by Buyer for a period of up to 120 days following the later of the Closing or termination of the Services Agreement to allow for conversion of existing billing arrangements; provided however that Buyer will not be required to pay Seller more than Seller's actual cost of providing such service.
Subscriber Billing Services. Seller will provide to Buyer in connection with the System for a period of up to one hundred eighty (180) days following Closing, including access to and the right to use its billing system computers, software and related fixed assets ("TRANSITIONAL BILLING SERVICES"), in connection with the System acquired by Buyer or the LLC to allow for conversion of existing billing arrangements. Buyer will notify Seller at least ten (10) Business Days prior to the Closing as to whether it desires Transitional Billing Services from Seller. The Transitional Billing Services shall be without cost to the LLC or Buyer for the first sixty (60) days. After the first sixty (60) days, Buyer shall pay Seller $0.40 per customer for Transitional Billing Services for the next thirty (30) days and $0.50 per customer for each of the remaining three thirty (30) day periods. In addition, Buyer will pay for reasonable out of pocket costs incurred by Seller in facilitating the transition of billing services to the LLC or an outside service retained by the LLC provided such reimbursable costs are for extraordinary services and are approved in advance by Buyer.

Subscriber Billing Services. Continental and TCICP will ----------- --------------------------- each provide to the other, upon request, reasonable access to and the right to use its billing system computers, software and related fixed assets in connection with the System acquired by the other for a period of up to 90 days following the Closing to allow for conversion of existing billing arrangements ("Transitional Billing Services"). Each party will notify the other at least 10 days prior to Closing as to whether it desires Transitional Billing Services from the other. All Transitional Billing Services, if any, that are requested by a party will be provided on terms and conditions reasonably satisfactory to each Party.

Companies will provide to Buyer at no cost, upon request, access to and the right to use its billing system computers, software and related fixed assets ("Transitional Billing Services") in connection with the System acquired by Buyer for a period of up to 30 days following the Closing to allow for conversion of existing billing arrangements. Buyer will promptly notify Companies as to whether it desires Transitional Billing Services from Companies.

Buyer shall be responsible for the reasonable out of pocket costs of Seller to provide Transitional Billing Services; Provided, however, that for Transitional Billing Services continuing after the 90th day from Closing, Buyer shall also pay $.28 per subscriber per month.
Subscriber Billing Services. 12.1 The parties agree that the geographic areas to be covered by this Agreement are Customer's cellular and PCS calling regions established for the geographic areas defined within Appendix K (Geographic Areas and Data Receipt Dates). However, Customer shall not be obligated to have CSC process all geographic areas defined within Appendix K if the monthly minimum Subscriber Bill xxx Report Computation minimum charges set forth in Section 8 of Appendix D are paid to CSC by Customer. The parties agree that new geographic areas of Customer or an Affiliate may be added to the coverage for services to be provided under this Agreement at the rates set forth in Appendix D, pursuant to an Order or a separate written agreement between the parties setting forth the geographic area or areas to be added and detailing any additional matters with regard to the conversion for each such area and how the provision of services for such area will otherwise be accomplished and compensated under this Agreement.

The Sellers will provide to the Buyer, upon written request received by the Sellers no later than the date the Buyer reasonably believes is 30 days prior to Closing, Subscriber billing services in connection with the Systems for a period of up to 180 days following Closing to allow for conversion of existing or replacement billing arrangements ("Transitional Billing Services"). All Transitional Billing Services will be provided at the Buyer's expense on terms and conditions reasonably satisfactory to both parties and at the actual out-of-pocket cost to the Sellers.
