Transitional Billing Services. Seller will provide to Buyer, upon request, access to and the right to use its billing system computers, software and related fixed assets in connection with the Systems for a period of up to six months following the Closing to allow for conversion of existing billing arrangements, including billing and related arrangements regarding internet access services being provided to customers of a System on the Closing Date ("Transitional Billing Services"). Buyer will notify Seller at least 30 days prior to the Closing as to whether it desires Transitional Billing Services from Seller. All Transitional Billing Services, if any, that are requested by Buyer will be provided on terms and conditions reasonably satisfactory to each party; provided, however, that the amount to be paid by Buyer for such Transitional Billing Services will not exceed the out-of-pocket cost to Seller of providing such Transitional Billing Services. Seller will notify Buyer of the cost to Seller of providing such Transitional Billing Services within 10 Business Days after receiving Buyer's notice requesting the provision of such Transitional Billing Services.

Buyer shall notify Seller at least 10 days prior to Closing as to whether it desires Transitional Billing Services. Transitional Billing Services, if any, that are requested by Buyer shall be provided on terms and conditions reasonably satisfactory to Seller; provided, however, that the amount to be paid by Buyer for such Transitional Billing Services shall not exceed the reasonable direct incremental cost to Seller of providing such Transitional Billing Services.

Seller will provide to Buyer, upon request, access to and the right to use its billing system computers, software and related fixed assets ("Transitional Billing Services") in connection with the System for a period of up to 180 days following the Closing to allow for conversion of existing billing arrangements. Buyer will notify Seller at least 30 days prior to the Closing as to whether it desires Transitional Billing Services from Seller. Buyer will reimburse Seller for all direct expenses incurred by Seller in providing the Transitional Billing Services.
Transitional Billing Services. Seller shall provide to Buyer, upon ----------------------------- written request and at the cost of Buyer, subscriber billing services ("Transitional Billing Services") in connection with the System for a period of up to 120 days following Closing to allow for conversion of existing billing arrangements. Buyer shall notify Seller in writing at least 30 days prior to Closing as to whether it desires Seller to provide Transitional Billing Services. Each party shall cooperate with all reasonable requests by the other in connection with the first billing cycle following Closing. Buyer acknowledges that Seller is in the process of converting its billing system from a TBOL system to a DDP/SQL system. This conversion is currently scheduled to occur in late January or early February of 1998. Buyer acknowledges that during such conversion: (a) certain services of the System may be down for a period of time, including, but not limited to, pay-per-view services; and (b) certain computer terminals may be required to be replaced with personal computers. In the event that such computer terminals are required to be replaced with personal computers in connection with the conversion of the billing system, such replacement shall be at the sole cost and expense of Buyer. In the event that the conversion of the billing system occurs subsequent to Closing, Buyer shall cooperate with Seller in completing the conversion and allow Seller's agents and employees access to the System to effectuate the conversion.

Transitional Billing Services. Upon TWEAN's written request, which ----------------------------- shall be made at least 30 days prior to Closing, and at the actual out-of-pocket cost of Seller, Seller shall provide to Buyer subscriber billing services ("Transitional Billing Services") in connection with the System for a period of up to 90 days following Closing to allow for conversion of existing billing arrangements. Seller shall cooperate with all reasonable requests of TWEAN in connection with the first billing cycle following Closing.

Cable One and TCA will each provide to the other, upon request, access to and the right to use its billing system computers, software and related fixed assets in connection with the System acquired by the other for a period of up to 90 days following the Closing to allow for conversion of existing billing arrangements ("Transitional Billing Services"). Each Party will notify the other at least 10 days prior to the Closing as to whether it desires Transitional Billing Services from the other. All Transitional Billing Services, if any, that are requested by a Party will be provided on terms and conditions reasonably satisfactory to each Party; provided, however, that the amount to be paid by the Party receiving Transitional Billing Services will not exceed the out of pocket cost to the other Party of providing such Transitional Billing Services. Each Party will notify the other, at least 45 days prior to the Closing, of the cost to such Party of providing such Transitional Billing Services.

All Transitional Billing Services that are requested by Insight will be provided on terms and conditions reasonably satisfactory to each party; provided however that the amount to be paid by Insight for such services will not exceed the cost to AT&T of providing such Transitional Billing Services. AT&T will notify Insight at least 45 days prior to the Closing of the cost to AT&T of providing such Transitional Billing Services.
