Return of Information and Property. Employee represents that as of the date of Employee’s execution of this Agreement, Employee has returned to the Company, all Company property, equipment, confidential information, records, electronically stored data and other materials relating to Employee’s employment, including tools, documents, papers, computer software, passwords and other identification materials, ID cards, keys, credit cards, personal computers, tablets, cell phones, and/or instruction manuals. This obligation applies to all materials relating to the affairs of the Company or any of its customers, clients, vendors, employees, or agents that may be in Employee’s possession or control. All such Company property must be returned by Employee in order for Employee to commence receiving the Severance Pay and Severance Benefits provided under Section 2 hereof.
Return of Information and Property. Upon termination of Executive’s employment, or at any other time as the Company may request in writing, Executive agrees to deliver to the Company any and all property of the Company or any Affiliate and any and all documents, materials, data and information (in whatever form, whether hardcopy, electronic or otherwise, and in whatever medium) relating to the business of the Company or any Affiliate, including without limitation all such items that constitute or contain Confidential Information, documents, computer files, keys, corporate credit cards and company provided computers, automobiles or other equipment. All such property will be returned promptly and in good condition except for normal wear.
Return of Information and Property. Upon termination of Executive's employment, Executive will deliver to the Company all customer lists, proposals, reports, memoranda, computer software and programming, budgets and other financial information, and other materials or records or writings of any type (including any copies thereof and regardless of the medium in which the information exists) made, used or obtained by Executive in connection with his employment by the Company and all Company property.
Return of Information and Property. At such time as the Senior Executive shall cease to be employed by the Parent Corporation or at any other time the Parent Corporation may request, he shall promptly deliver and surrender to the Parent Corporation all Confidential Information, papers, memoranda, notes, records, reports, sketches, specifications, designs and other documents (including those in computer-readable form), writings (and all copies thereof), and other property belonging to or embodying the Confidential Information of the Parent Corporation, whether produced by him or otherwise coming into his possession or control by or through his employment hereunder, and the Senior Executive agrees that all such materials and property will at all times remain the exclusive property of the Parent Corporation.
Return of Information and Property. The Receiving Party acknowledges and agrees that the property and copyright in Confidential Information disclosed to it by the Disclosing Party, including any documents, files and other items containing any Confidential Information or in any other form of media, belongs to the Disclosing Party. At the Disclosing Party's written request, the Receiving Party will return immediately to the Disclosing Party all Confidential Information which the Receiving Party has received under this Agreement and which whether or not the information is in the Receiving Party's possession, including any copies made in any other form of media, and make no further use or disclosure of any of the Confidential Information.
Return of Information and Property. Xxxxx affirms that all originals and all copies of Deluxe’s records, correspondence and documents, and all other property and assets of Deluxe, created or obtained by Xxxxx as a result of or in the course of or in connection with his employment with Deluxe which are in his possession or control, whether confidential or not, have been returned to Deluxe as of the Separation Date.
Return of Information and Property. The Receiving Party acknowledges and agrees that the Confidential Information is and remains the property of the Disclosing Party. The Receiving party must, at the end of this Agreement or within seven days following written instruction by the Disclosing Party to do so, return or destroy all Confidential Information in the Receiving Party's possession, custody or control. The Receiving Party may retain one (1) copy of any such Confidential Information to be stored securely with its legal representative only if required for regulatory or insurance purposes, but in this event the confidentiality and non-use provisions in this Agreement remain in place with respect to such retained Confidential Information. The return or destruction of any Confidential Information will not diminish or otherwise affect any other obligations under this Agreement.
Return of Information and Property. Unless otherwise required in connection with Executive’s performance of the Services, Executive agrees to return to the Company all property and equipment belonging to the Company and the Releasees, including without limitation all Company property which includes, but is not limited to any keys, credit cards, I.D. cards, passwords, iPads, laptops, cellular phones, the originals and all copies (regardless of medium) of all information pertaining to or related to the Company including any Confidential Information, files, materials, documents, work product, files, calendars, books, records, notes, notebooks, manuals, computer disks, diskettes and any other magnetic and other media materials or other property relating to the business of the Company, the Releasees, or their affiliates, and Executive represents that all such information and items have been returned to the Company. If Executive fails to return any such property, the Company shall be entitled to deduct from the Separation Consideration an amount equal to the value of non-returned property.
Return of Information and Property. Employee represents that he shall return to Vaccinogen the originals and all copies of all files, materials, documents or other property and equipment belonging to or relating to the business of Vaccinogen, no later than his Separation Date.
Return of Information and Property. I agree that I will promptly return to Peoples all Peoples information and property, including all reports, maps, files, memoranda, and records; credit cards, cardkey passes; door and file keys; computer access codes; software; and other physical or personal property which I received or prepared or helped prepare in connection with my employment. I hereby represent that I have not retained and will not retain any copies, duplicates, reproductions, or excerpts thereof.
