If disclosure is compelled by law, pursuant to a duly authorized subpoena, court order, or government authority, unless otherwise prohibited by law, the Receiving Party shall provide the Disclosing Party with prompt notice to permit the Disclosing Party to seek a protective order or other appropriate remedy protecting its Confidential Information from disclosure.
In the event the Receiving Party is requested or required by Law to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall, if legally permitted, provide reasonable advance written notice to the Disclosing Party of such request or requirement so that the Disclosing Party may seek confidential treatment of such Confidential Information prior to its disclosure (whether through protective orders or otherwise).
The foregoing confidentiality and nondisclosure obligations will not prohibit the disclosure of Confidential Information to the extent such disclosure is required by law or by regulation; provided, however, that in such event, the Receiving Party provides the Disclosing Party with prompt advance written notice of such disclosure so that the Disclosing Party has the opportunity if it so desires to seek a protective order or other appropriate remedy.
The Receiving Party will keep strictly confidential any Confidential Information disclosed by the Disclosing Party or otherwise made available to the Receiving Party, using at least the same degree of care that it uses to protect its own confidential or proprietary information but in no event less than reasonable care.
The Parties each expressly agree that monetary damages would be inadequate to compensate the Disclosing Party for any breach of its Confidential Information.
