If the Receiving Party is required by a governmental or judicial law, order, rule, regulation or permit to disclose Proprietary Information, it must give prompt written notice to the Disclosing Party of the requirements of such disclosure and cooperate fully with the Disclosing Party to minimize such disclosure, and disclosure after such notice shall not be a breach hereof.
Notwithstanding the foregoing, information disclosed by the Disclosing Party pursuant to this Agreement that is not identified as “Confidential” or “Proprietary” will nevertheless be treated as Confidential Information by the Receiving Party if a reasonable person knowledgeable in the industry and field would, based upon the nature of the information or the circumstances surrounding its disclosure, consider such disclosure to be confidential and/or proprietary.
Confidential Information shall also include oral and visual disclosures which are identified as confidential at the time of such disclosures and which are confirmed and summarized within fifteen (15) days of the disclosure by the Disclosing Party in a writing that sets forth the substance of the Confidential Information disclosed.
