The Receiving Party shall ensure that any third party to whom it discloses the Confidential Information shall be informed of the confidential nature of the information and be bound by obligations of confidentiality on terms no less onerous than those set out in this Agreement.
The Receiving Party undertakes during the term of this agreement: ● To preserve and protect the strictly confidential nature of the Confidential Information.
The Receiving Party shall restrict disclosure of such Confidential Information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party's obligations under the Agreement, and shall ensure that such employees, agents, or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party under the Agreement.
The Receiving Party shall not: ● Use the Confidential Information to circumvent, bypass, or otherwise avoid the ● Directly or indirectly contact, negotiate with, or engage in business with any of the Disclosing Party’s clients, contacts, or opportunities disclosed under this Agreement without the Disclosing Party’s express written permission; ● Solicit or interfere with the Disclosing Party’s relationships with its clients, contacts, or business partners.
