Responsibilities of Officers. Chair. The Chair shall serve as the Chair of the Management Committee. The Chair shall preside at all meetings of the Management Committee and shall be responsible for the preparation of the agenda for all meetings of the Management Committee. Vice Chair/Secretary. The Vice Chair/Secretary shall, in the absence or disability of the Chair, perform the duties and exercise the powers of the Chair, and have such other powers and duties as may be prescribed by the Management Committee. The Vice Chair/Secretary shall be responsible to assure there are adequate procedures to distribute the agenda of the meetings of the Management Committee, give notice of the meetings of the Management Committee, keep the Minutes of the proceedings of said meetings, maintain the records of the ERAG and Management Committee, and have such other powers and duties as may be prescribed by the Management Committee.

Responsibilities of Officers. The parties acknowledge that Holdings has duly elected corporate officers. It is the parties intention that except for the salaried officer positions of Holdings specified on Exhibit I to the Agreement, substantially all of the responsibilities which would normally be carried out by officers of Holdings will be carried out by employees of JMC acting in their capacity as an employee of JMC. The parties further intend that, except at the written direction of the Holdings Board of Directors, and individual who is an officer of Holdings and JMC shall provide only limited administrative services, without compensation, to Holdings in his capacity as an officer of Holdings. Such limited administrative services shall include such things as signing formal documents, as well as any other action required by law of a Holdings officer.
Responsibilities of Officers. All Lieutenants and Captains of the Fire Department are considered to be direct representatives of the Fire Department and of the Fire Chief.
