Required Skills and Experience. 11.1 The Contractor must be fully able to demonstrate the required skills and experience of the individual/team performing the services, specifying which are essential and which are desirable are: - Trainers must be working to, or qualified to, CIPD Certificate in Training Practice or an equivalent standard. Trainers must have an expertise in the knowledge of, the delivery of Search and Entry, Personal Safety and Risk Analysis, and Handling Conflict & Breakaway Techniques training where possible, or provide a method of obtaining this expertise. Trainers must demonstrate oral and verbal skills for diffusing awkward situations that staff might face. Trainers must be able to demonstrate techniques and or skills for use in ‘last resort’ scenarios where applicable. The contractor must provide their own insurance to cover the risk of accidents happening during the training. Trainers must be able to demonstrate an understanding of the complex challenges faced by CEOs, Xxxxxxxx and Xxxxxxxx in their public facing role. evidence of previous experience delivering training to a large, complex, geographically-dispersed, multi-faceted and multi-cultural body; an understanding of the public sector ethos; knowledge of public sector organisation and culture knowledge and understanding of the Professional Skills for Government (PSG) competency framework; ability to work in partnership with internal L&D trainers for the purpose of developing their skills for future application across the department if deemed appropriate; ability to maintain a dual partnership in regards to communication; accepting of constructive feedback, and ready to take appropriate action in regards to the execution of the contract, if and when this becomes necessary; a good understanding of the Government’s Agenda for the department: reducing re-offending and protection of the public; promoting a just and fair society; providing access to justice for all; increasing confidence in the justice system; upholding people’s human, information and democratic rights; safeguarding and modernising our constitution.

Required Skills and Experience. Education: • Master’s degree in Environmental Management or any other closely related field (max 10 pts); Experience: • At least 7 years of experience in results-based project design and management, monitoring, evaluation, and reporting on development results and impacts (max 20 pts); • Previous experience in quality assurance of environment and international development projects and programmes is required.   • SPECIAL SKILLS Five percent (5%) of the employees (not less than one person) to be laid off within a class within an agency shall be exempt from the seniority factor when the State determines that there is a need for special skills. “Special skills” refers to jobs difficult to fill with a replacement except after extensive training.   • Experience, Financial Capability and Suitability Subscriber is: (i) sophisticated in financial matters and is able to evaluate the risks and benefits of the investment in the Shares and (ii) able to bear the economic risk of its investment in the Shares for an indefinite period of time because the Shares have not been registered under the Securities Act (as defined below) and therefore cannot be sold unless subsequently registered under the Securities Act or an exemption from such registration is available. Subscriber is capable of evaluating the merits and risks of its investment in the Company and has the capacity to protect its own interests.   • Knowledge and Experience The Investor has such knowledge and experience in financial, tax and business matters, including substantial experience in evaluating and investing in common stock and other securities (including the common stock and other securities of speculative companies), so as to enable the Investor to utilize the information referred to in Section 4.7 hereof and any other information made available by the Issuer to the Investor in order to evaluate the merits and risks of an investment in the Shares and to make an informed investment decision with respect thereto.

  • Internal Controls and Compliance with the Xxxxxxxx-Xxxxx Act Except as set forth in the General Disclosure Package, the Company, its subsidiaries and the Company’s Board of Directors (the “Board”) are in compliance with all applicable provisions of Xxxxxxxx-Xxxxx and Exchange Rules. The Company maintains a system of internal controls, including, but not limited to, disclosure controls and procedures, internal controls over accounting matters and financial reporting, an internal audit function and legal and regulatory compliance controls (collectively, “Internal Controls”) that comply with the applicable Securities Laws and are sufficient to provide reasonable assurances that (i) transactions are executed in accordance with management’s general or specific authorizations, (ii) transactions are recorded as necessary to permit preparation of financial statements in conformity with U.S. Generally Accepted Accounting Principles (“GAAP”) and to maintain accountability for assets, (iii) access to assets is permitted only in accordance with management’s general or specific authorization, and (iv) the recorded accounting for assets is compared with the existing assets at reasonable intervals and appropriate action is taken with respect to any differences. The Internal Controls are, or upon consummation of the offering of the Offered Securities will be, overseen by the Audit Committee (the “Audit Committee”) of the Board in accordance with Exchange Rules. The Company has not publicly disclosed or reported to the Audit Committee or the Board, and within the next 135 days the Company does not reasonably expect to publicly disclose or report to the Audit Committee or the Board, a significant deficiency, material weakness, change in Internal Controls or fraud involving management or other employees who have a significant role in Internal Controls, any violation of, or failure to comply with, the Securities Laws, or any matter which, if determined adversely, would result in a Material Adverse Effect.

  • Internal Controls and Procedures The Company has established and maintains disclosure controls and procedures and internal control over financial reporting (as such terms are defined in paragraphs (e) and (f), respectively, of Rule 13a-15 under the Exchange Act) as required by Rule 13a-15 under the Exchange Act. The Company’s disclosure controls and procedures are reasonably designed to ensure that all material information required to be disclosed by the Company in the reports that it files or furnishes under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in the rules and forms of the SEC, and that all such material information is accumulated and communicated to the Company’s management as appropriate to allow timely decisions regarding required disclosure and to make the certifications required pursuant to Sections 302 and 906 of the Xxxxxxxx-Xxxxx Act of 2002 (the “Xxxxxxxx-Xxxxx Act”). The Company’s management has completed an assessment of the effectiveness of the Company’s internal controls over financial reporting in compliance with the requirements of Section 404 of the Xxxxxxxx-Xxxxx Act for the year ended December 31, 2010 and such assessment concluded that such controls were effective. Based on its most recent evaluation of internal controls over financial reporting prior to the date hereof, management of the Company has disclosed to the Company’s auditors and the audit committee of the Company Board (i) any significant deficiencies and material weaknesses in the design or operation of internal controls over financial reporting that are reasonably likely to adversely affect in any material respect the Company’s ability to report financial information and (ii) any fraud, whether or not material, that involves management or other employees who have a significant role in the Company’s internal control over financial reporting, and each such deficiency, weakness and fraud so disclosed to auditors, if any, has been disclosed to Parent prior to the date hereof.
