Records of Sales. During the term of this Agreement and for a period of three (3) years thereafter, LICENSEE shall keep at its principal place of business true and accurate records of all Sales in accordance with general accepted accounting principles in the respective country where such Sales occur and in such form and manner so that all royalties owed to MCGRI may be readily and accurately determined. LICENSEE shall furnish MCGRI copies of such records upon MCGRI’s request, which shall not be made more often than once per License Agreement Year.
Records of Sales. The Authorized Participant agrees, to the extent required by applicable law, to maintain records of all sales of Shares made by or through it and to furnish copies of such records to the Trust or the Sponsor upon the reasonable written request of the Trust or the Sponsor, subject to its applicable customer information protection rules, regulations, internal policies and undertakings to maintain such information in confidence.
Records of Sales. During the term of this Agreement and for a period of three (3) years thereafter, LICENSEE and its Designated Affiliates shall keep at its principal place of business true and accurate records of all Sales in accordance with generally accepted accounting principles in the respective country where such Sales occur and in such form and manner so that all royalties owed to UNIVERSITIES may be readily and accurately determined. LICENSEE shall furnish UNIVERSITIES copies of such records upon UNIVERSITIES’ request, which shall not be made more often than once per License Agreement Year.
Records of Sales. Commencing on and after the Effective Date, Astra ---------------- shall at all times during the term of this License Agreement and for a period of three (3) years after termination of this License Agreement keep at its principal place of business true and accurate records of all Sales subject to Section 4 of this License Agreement in such form and manner that all royalties owed hereunder to Licensors may be readily and accurately determined. Such records shall be kept for a period of at least three (3) years after the end of the royalty period to which they pertain and shall include, but not by way of limitation, all information necessary for Astra's Auditors to prepare the reports required by Section 6 of this License Agreement.
Records of Sales. During the term of this Agreement and for a period of seven years thereafter, LICENSEE shall keep at its principal place of business true and accurate records of all Sales in such form and manner so that all royalties owed to PU may be readily and accurately determined. LICENSEE shall furnish PRF copies of such records upon PRF's request.
Records of Sales. Licensee shall at all times during the term of this Agreement and for a period of five (5) years after termination of this Agreement keep at its principal place of business true and accurate records of all Sales subject to Section 3 of this Agreement in such form and manner that all royalties owed hereunder to OMRF may be readily and accurately determined. Such records shall include, but not by way of limitation, all information necessary for Licensee's Auditors to prepare the reports required by Section 6 of this Agreement.
Records of Sales. In order to enable Bukwang to exercise its audit rights pursuant to Section 4.3, Pharmasset, its Affiliates and sublicensees shall keep at their respective principal place of businesses true and accurate records of all sales hereunder in accordance with generally accepted accounting principles in such form and manner so that all royalties owed to Bukwang may be readily and accurately determined. Pharmasset shall furnish Bukwang copies of such records upon Bukwang’s request, which request shall not be made more often than once per calendar year.

BUKWANG shall furnish LICENSOR copies of such records upon LICENSOR’s request, which shall not be made more often than once per License Agreement Year.
Records of Sales. During the term of this Agreement and for a period of three (3) years thereafter, Novirio shall keep at its principal place of business true and accurate records of all Sales in accordance with generally accepted accounting principles in the respective country where such Sales occur and in such form and manner so that all royalties owed to TherapX and Xx. Xxxxxxxx may be readily and accurately determined. Novirio shall furnish TherapX and Xx. Xxxxxxxx copies of such records upon TherapX and Xx. Xxxxxxxx'x request, which shall not be made more often than once per License Agreement Year.
Records of Sales. Rallybio, its Affiliates and licensees shall keep for three (3) years from the end of each calendar year complete and accurate records of their sales of Products in sufficient detail to allow the accruing milestone and Royalty Payments to be determined accurately. Prophylix shall have the right for a period of one (1) year after receiving any report or statement with respect to milestone and Royalty Payments due and payable to appoint an independent certified public accountant reasonably acceptable to Rallybio to inspect the relevant records to verify such report or statement. Such inspection right shall not be exercised more than once in any calendar year. Rallybio shall reasonably cooperate with the appointed accountant in the carrying out of any audits, and shall make available for inspection books, records and documents in its possession relevant to Rallybio’s payment obligations under this Agreement. Prophylix agrees to hold in strict confidence all information concerning milestone and Royalty Payments and reports, and all information learned in the course of any audit or inspection (and not to make copies of such reports and information). The results of each inspection, if any, shall be binding on both Parties. Prophylix shall pay for such inspections, except that in the event there is any upward adjustment in aggregate Royalty Payments payable for any year shown by such inspection of more than [***] of the amount paid, Rallybio shall pay for such inspection. Rallybio shall include in each license agreement entered into by it with respect to the Products a provision requiring the licensee to keep and maintain adequate records of sales made pursuant to such license agreement and to grant access to such records in accordance with this Section 3.4.6. If the audit uncovers that Rallybio has paid less than what is required under this Agreement, then Rallybio shall make an adjusting payment to Prophylix in an amount equal to such shortfall. Any adjusting payments to be made by Rallybio pursuant to this Section 3.4.6 shall be made no later than five (5) Business Days following the result of the inspection, to an account designated in writing by Prophylix to Rallybio.
