Affiliates and Sublicensees. Each Party may exercise or perform, or have exercised or performed on its behalf, some or all of its rights or obligations under this Agreement by one or more of such Party’s Affiliates or Sublicensees. Each Party shall be responsible for each of its Affiliates’ and Sublicensees’ compliance with all obligations of such Party under this Agreement.
Affiliates and Sublicensees. Licensee shall require all its Affiliates and Sublicensees to comply with the provisions and obligations under this Article 8 as if such entity were the Licensee.
Affiliates and Sublicensees. Licensee shall require all its Affiliates and Sublicensees (other than Third Party Contractors) to comply with the provisions and obligations under this Section 7 as if such entity were the Licensee. Affiliates and Sublicensees. King shall cause its Affiliates, if any, involved in the sale of Products in the Territory and sublicensees, if any, involved in the sale of Products in the U.S. to be subject to the provisions of this Section 2.19. King shall use commercially reasonable efforts to cause its sublicensees, if any, involved in the sale of Products outside the U.S. to be subject to the provisions of this Section 2.19; provided, however, if despite having used commercially reasonable efforts, failure of King to do so shall not be deemed a breach of this Agreement.
Affiliates and Sublicensees. NN shall require its Affiliates and Sublicensees to comply with this Article 8.
Affiliates and Sublicensees. Each party shall require its Affiliates, licensees/sublicensees to comply with this ARTICLE 4.
Affiliates and Sublicensees. This Article 6 and the obligations herein shall apply to each Party and its officers, directors, employees, subcontractors, agents, Affiliates, Representatives, and Sublicensees. Each Receiving Party shall be responsible for causing such persons to comply with the obligations set forth in this Article 6.
Affiliates and Sublicensees. Any and all rights of Millennium under this Agreement are intended, and shall be construed, to benefit such of its Affiliates and its permitted sublicensees as and to the extent Millennium may, from time to time, designate. Further, Millennium shall have the right to satisfy any or all of its obligations under this Agreement through one or more of its Affiliates or permitted sublicensees.
Affiliates and Sublicensees. ICON shall cause its Affiliates and Sublicensees and Distributors in the United States and Major European Countries to retain records relating to ICON Licensed Products and permit an independent certified public accountant selected by ARIAD to inspect such records in the same manner as set forth in this Section 4.6.
Affiliates and Sublicensees. GENICA shall be responsible for its Affiliates and sublicensees and shall not grant any rights which are inconsistent with the rights and obligations of GENICA hereunder. Any act or omission of an Affiliate or sublicensee which would be a breach of this License Agreement if performed by GENICA shall be deemed to be a breach by GENICA of this License Agreement. Each sublicense agreement granted by GENICA to its Affiliates or sublicensees shall include an audit right by BAYLOR of the same scope as provided by Paragraph 5.2 hereof with respect to GENICA. No such sublicense agreement shall contain any provision which would cause it to extend beyond the term of this License Agreement. GENICA shall give BAYLOR prompt notification of the identity and address of each Affiliate and sublicensee with whom it concludes a sublicense agreement and shall supply BAYLOR with a copy of each sublicense agreement.
