QUALITY AND WARRANTIES. Supplier warrants (i) that the Goods will be new, unused, of merchantable and satisfactory quality, fit for any purpose made known to Supplier whether expressly or by implication, and free from all defects whether in design, material or workmanship, (ii) that the Goods and Services will conform with the specifications, drawings, samples or other descriptions contained or referred to in this order and with all applicable standards, codes, laws and regulations, (iii) that Supplier will exercise all reasonable skill, care and due diligence and shall carry out the Services in accordance with good engineering and professional practice, (iv) that Supplier has in place and complies with a documented quality management system, (v) that the Goods and the product of the Services (if any) shall be supplied with such documentation as is suitable and adequate for their use, installation, operation, handling, storage and maintenance, and (vi) that Supplier has suitable and sufficient premises, competent and qualified staff and tools and equipment required to perform its obligations under the Contract. Without prejudice to Xxxxx’s other rights and remedies, Supplier shall at its own cost make good all defects appearing in the Goods and/or work within 24 months from first use or such other period as may be stipulated in the order. The foregoing warranties and any other guarantee(s) given by Supplier or the manufacturer of the Goods and/or performer of the work and/or the Services shall be transferable in full to Buyer’s customer and/or the end-user (as applicable).
QUALITY AND WARRANTIES. 4.1.The Seller warrants that the delivered Goods correspond to the models specified in the Contract or the Technical Specification, and conform to the parameters specified therein and other provisions of the Contract. The Seller also warrants that the Goods supplied under the Contract do not, and during their operation, will not incur any defects due to their construction, materials, manufacture or for any other reasons, except if the Contracting Authority operates the Goods in a way that is contrary to the operating instructions.

Supplier shall at its own cost make good all defects appearing in the Goods and/or work within 24 months from first use or such other period as may be stipulated in the order. The foregoing warranties and any other guarantee(s) given by Supplier or the manufacturer of the Goods and/or performer of the work and/or the Services shall be transferable in full to Buyer’s customer and/or the end-user (as applicable). If Supplier ceases to manufacture the Goods and for a term of at least five years, Supplier guarantees an adequate repair service as well a supply of spare parts.

QUALITY AND WARRANTIES. RII warrants that the digital media on which the Product is distributed is free from defects in materials and workmanship. EXCEPT AS SPECIFICALLY PROVIDED IN THE PRECEDING SENTENCE, RII MAKES NO WARRANTY OR REPRESENTATION, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCT, INCLUDING ITS CONTENT, QUALITY, PERFORMANCE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. This section shall not limit RII's liability with respect to intellectual property rights and indemnification. RII shall extend its standard warranty to purchasers of the Product, a copy of which is attached as EXHIBIT E, in the form in which it appears on the Product Registration Card packaged with the Product. GETF shall not represent that RII makes any warranty other than this standard warranty.

(a) Supplier represents and warrants that Services will be performed with: (i) all necessary registrations, licenses, permits, or authorizations, (ii) In a competent manner, in accordance with the Order, free from deficiencies or defects, and in conformance with Purchaser’s specifications, samples, models, and designs. (b) Supplier further represents and warrants that Goods will: (i) be new, with clear title, in conformance with Purchaser’s specifications, adequately packaged, fit for their usual purpose, (ii) of at least ordinary quality if not customized, consistent with agreed samples or models, and, for one (1) year from the date of delivery, free from defects or deficiencies. (c) Supplier will at Supplier’s cost: (i) promptly correct any deficiencies in Services, promptly repair, replace, or refund payment for non-conforming Goods - at Purchaser’s option, and for repaired, replaced, or corrected Work, provide the same warranties as for the original Work.
