Property Included in Sale. Seller hereby agrees to sell and convey to Bxxxx, and Bxxxx hereby agrees to purchase from Seller, subject to the terms and conditions set forth herein, the following:

Property Included in Sale. Xxxxxx agrees to sell and convey to City, and City agrees to purchase from Seller, subject to the terms, covenants and conditions hereinafter set forth, the following: (a) the real property consisting of approximately 26,954 square feet of land, located in the City and County of San Francisco, commonly known as 0000-0000 Xxxxxxx Xxxxxx, Xxxxxxxx Xxxxxx Xxxxxx Xxxxx 0000, Lot 012 and more particularly described in the attached Exhibit A (the “Land”); (b) all improvements and fixtures located on the Land, including, without limitation, (i) that certain 52-room tourist hotel and associated leases, as well as all other buildings and structures located on the Land, all apparatus, equipment and appliances used in connection with the operation or occupancy of the Land and its improvements such as heating and air conditioning systems and facilities used to provide any utility, refrigeration, ventilation, garbage disposal or other services, and together with and all on-site parking (collectively, the “Improvements”); (c) any and all rights, privileges, and easements incidental or appurtenant to the Land or Improvements, including, without limitation, any and all minerals, oil, gas and other hydrocarbon substances on and under the Land, as well as any and all development rights, air rights, water, water rights, riparian rights and water stock relating to the Land, and any and all easements, rights-of-way or other appurtenances used in connection with the beneficial use and enjoyment of the Land or Improvements, and any and all of Seller's right, title and interest in and to all roads and alleys adjoining or servicing the Land or Improvements (collectively, the “Appurtenances”); (d) the personal property owned by Seller, and accepted by City, located on or in or used in connection with the Land, Appurtenances, or Improvements as described in (e) any intangible personal property now or hereafter owned by Seller and used in the ownership, use or operation of the Land, Improvements, Appurtenances, or Personal Property, including, without limitation, the right to use the name “Mission Inn” and any other trade name now used in connection with the Land or Improvements, and, to the extent expressly approved by City pursuant to this Agreement, any contract rights or other agreements or rights

Property Included in Sale. Seller hereby agrees to sell and convey to Buyer, and Buyer hereby agrees to purchase from Seller, subject to the terms and conditions set forth herein, the following: (a) that certain real property located at 0000 X. Xxxxxxx Xx., Xxxxxx, XX 00000, being more particularly described in Exhibit A attached hereto (each such parcel of real property being referred to herein as a "Parcel" and collectively being referred to as the "Real Property"); (b) except as may otherwise be noted on any one or more of the Parcel descriptions on Exhibit A, all rights, privileges, and easements appurtenant to the Real Property, including, without limitation, all minerals, oil, gas, and other hydrocarbon and other substances on and under the Real Property, as well as all development rights, air rights, water, water rights, riparian rights, and water stock relating to the Real Property, and any rights-of-way or other appurtenances used in connection with the beneficial use and enjoyment of the Real Property (collectively, the "Appurtenances"); and (c) all of Seller's right, title, and interest in and to all improvements and fixtures located on the Real Property, including, without limitation, buildings and structures presently located on the Real Property, all apparatus, equipment and appliances used in connection with the operation or occupancy of the Real Property, such as heating and air conditioning systems and facilities used to provide any utility, refrigeration, ventilation, garbage disposal, or other services on the Real Property (collectively, the "Improvements"). All of the items referred to in subparagraphs (a), (b), and (c) above are collectively referred to as the "Property."

The follow ing are items that are specifically included in this sale: All appliances and other personal property included, as set-forth herein, are purchased in an ”AS-IS“ condition as of the date of execution herein. Property Included in Sale. State agrees to sell and convey to CITY, and CITY agrees to purchase from State, subject to the terms, covenants and conditions hereinafter set forth, the following: (a) the real property consisting of approximately 4.54 acres of land, located in the City of Albany, commonly known as the Xxxxxx Street Property and more particularly described in Exhibit A attached hereto (the "Land"); and (b) all improvements located on the Land (collectively, the "Improvements"); (c) any and all of State’s rights, privileges, and easements incidental or appurtenant to the Land or Improvements, including, without limitation, any and all minerals, oil, gas and other hydrocarbon substances on and under the Land, as well as any and all development rights, air rights, water, water rights, riparian rights and water stock relating to the Land, and any and all easements, rights-of-way or other appurtenances used in connection with the beneficial use and enjoyment of the Land or Improvements, and any and all of State’s right, title and interest in and to all roads and alleys adjoining or servicing the Land or Improvements, but excluding any title exceptions approved by CITY during the Due Diligence Period (collectively, the “Appurtenances”).
