For purposes of this Agreement, “Permitted Liens”, as such term relates to each Parcel of Real Property, means the exceptions noted in Section 2.12(c) of the Target Disclosure Schedule.
Notwithstanding the previous sentence, any indebtedness encumbering a particular Parcel of Real Property during the Restricted Period applicable to such Parcel shall not exceed (at the time the guarantee or indemnity is granted) 67.5% of the fair market value of such Parcel.

Seller has not received any written notice to the effect that any Parcel of Real Property is being used or developed in violation of any covenants, easements, or restrictions.
