Other Employee and Executive Benefits. Executive will be entitled to receive all benefits provided to senior executives, executives and employees of the Company generally from time to time, including medical, dental, life insurance and long-term disability, and the executive split-dollar life insurance and executive disability plan, in each case so long as and to the extent the same exist; provided, that in respect to each such plan Executive is otherwise eligible and insurable in accordance with the terms of such plans. Executive will also be entitled to automobile benefits pursuant to a policy to be implemented by the Company with the concurrence of the Chairman of the Compensation Committee of the Board of Directors.

Furthermore, the Company will provide Executive with an automobile and driver for Executive’s ground transportation needs during the Employment Term.

Executive will also be entitled to automobile benefits pursuant to the Company's policy as it exists from time to time. The Company shall, at all possible times, provide executive with thirty (30) days prior written notice of its intention to discontinue any benefits plan or policy.
Other Employee and Executive Benefits. During the Employment Term, the Company shall pay for Executive’s membership in the Plaza Club or its successors or assigns (with such membership to be used for Company purposes), and the Young President’s Organization or its successors or assigns (“YPO”). The Company will also reimburse the Executive for certain expenses related to YPO activities in an amount up to $25,000 per annum. In addition, Executive shall be entitled to receive all benefits provided to senior executives, executives and employees of the Company generally from time to time, including health, life insurance and disability, and all other benefits provided to the Company’s senior executives generally, in each case so long as and to the extent the same exist; provided, that in respect to each such plan Executive is otherwise eligible and insurable in accordance with the terms of such plans. Notwithstanding the preceding sentence, Executive’s right to receive severance payments and benefits shall be only as provided in Section 6 hereof.

(c) Vacation, Sick Leave, Holidays and Sabbatical. Executive will be entitled to paid time off (“PTO”), sick leave, holidays and sabbatical in accordance with the policies of the Company as they exist from time to time. Executive understands that under the current policy he is entitled to thirty-five (35) PTO days per calendar year. PTO not used during any calendar year will roll over to the following year only to the extent provided under the Company’s PTO policies as they exist from time to time. 7.

Executive also shall be eligible to participate in the Company's relocation program, in accordance with terms and conditions outlined in the Company's relocation policy. Relocation expenses must be incurred within thirty months from the commencement of Executive's employment to be eligible for reimbursement. If Executive chooses to postpone relocation, the Company shall provide Executive with an appropriate apartment rental for up to thirty months. Furthermore, the Company shall provide Executive with an automobile and driver for Executive's ground transportation needs during the Employment Term.
