On Site Reviews. Representatives of Lender=s Asset-Based Lending Services department shall conduct periodic on site reviews of the Borrower=s financial records, inventory and procedures at intervals deemed appropriate by the Lender. Borrower shall allow the Lender or its agent(s) access to the books and records of the Borrower and shall allow Lender to make copies thereof. Borrower agrees to pay to Lender as reimbursement for expenses incurred in the proper monitoring and management of the Accounts, including, but not limited to, travel expenses, specialized equipment needed to count or value goods pledged as Collateral to Lender, the use of outside firms to perform on-site Asset Based Lending Collateral Reviews/Examinations as deemed necessary by Lender to properly manage/monitor Collateral, with said reimbursements being represented by receipts and/or listing of expenses submitted to Borrower by Lender, along with Lender’s invoice for payment/reimbursement.

On Site Reviews. Seller agrees, upon reasonable notice and during regular business hours, to Meet with Buyer from time to time to discuss Seller's business activities related to this Agreement.
On Site Reviews. The Department periodically conducts On-Site Reviews of selected Primary Contractors and its BH-MCO. The purpose of an On-Site Review is to determine a Primary Contractor and its BH-MCO’s initial and ongoing compliance with respect to meeting work statement tasks and program, standards and requirements. The Department reserves the right to sus- pend implementation of the Agreement and/or Member enrollment for any Primary Contractor or its BH-MCO that does not demonstrate to the Department's satisfaction, com- pliance with any critical program standard.
On Site Reviews. During the term of this Agreement, DealerTrack also shall allow Lender and its external auditors on Lender's behalf to perform periodic on-site reviews of DealerTrack's physical site as Lender deems reasonably appropriate for the purpose of determining DealerTrack's compliance with Section 19(d) below. At Lender's option, DealerTrack may submit evidence of a third party review, completed within the last year, that addresses the scope and control objectives related to transactions processed for Lender.
On Site Reviews. Periodically, Olsten shall continue to conduct on-site clinical reviews of selected patients' care to ensure clinical record accuracy and conformity to actual patient condition and to confirm that plans of care are appropriate to each of the patients' actual conditions. Comparisons will continue to be made of Olsten's patient care practices at randomly selected specific locations to applicable national and regional statistics for Olsten trends from year to year. Discrepancies will be investigated to determine their cause, and, when identified, improper practices will be corrected.

  • Periodic Reviews During January of each year during the term hereof, the Board of Directors of the Company shall review Executive's Annual Salary, bonus, stock options, and additional benefits then being provided to Executive. Following each such review, the Company may in its discretion increase the Annual Salary, bonus, stock options, and benefits; however, the Company shall not decrease such items during the period Executive serves as an employee of the Company. Prior to November 30th of each year during the term hereof, the Board of Directors of the Company shall communicate in writing the results of such review to Executive.

  • BUSINESS REVIEWS Vendor must perform a minimum of one business review with Sourcewell per contract year. The business review will cover sales to Participating Entities, pricing and contract terms, administrative fees, supply issues, customer issues, and any other necessary information.

  • OIG INSPECTION, AUDIT, AND REVIEW RIGHTS ‌ In addition to any other rights OIG may have by statute, regulation, or contract, OIG or its duly authorized representative(s) may conduct interviews, examine or request copies of Xxxxxx’x books, records, and other documents and supporting materials and/or conduct on-site reviews of any of Xxxxxx’x locations for the purpose of verifying and evaluating: (a) Xxxxxx’x compliance with the terms of this IA and (b) Xxxxxx’x compliance with the requirements of the Federal health care programs. The documentation described above shall be made available by Xxxxxx to OIG or its duly authorized representative(s) at all reasonable times for inspection, audit, and/or reproduction. Furthermore, for purposes of this provision, OIG or its duly authorized representative(s) may interview Xxxxxx and any of Xxxxxx’x employees or contractors who consent to be interviewed at the individual’s place of business during normal business hours or at such other place and time as may be mutually agreed upon between the individual and OIG. Xxxxxx shall assist OIG or its duly authorized representative(s) in contacting and arranging interviews with such individuals upon OIG’s request. Xxxxxx’x employees and contractors may elect to be interviewed with or without a representative of Xxxxxx present.

  • Program Review The Contracting Officer or other authorized government representative may hold semi- annual program review meetings. Such meetings will be held via telecom or video teleconferencing. However, the Government reserves the right to request a meeting in person. The meetings will include all BPA holders, representatives from prospective customer agencies, a combination of current and prospective customer agencies, or individual BPA holders. Some Federal Government Agencies and any approved State, Local and Tribal agencies may establish a central program management function. Such users may require their primary suppliers to participate in agency program review meetings on a periodic basis, at no additional cost to the Government.
