Media Licenses. The Borrower will obtain, maintain and preserve, and cause each of its Subsidiaries to obtain, maintain and preserve, all Media Licenses, including without limitation, by filing with the FCC (i) those of the Loan Documents required to be filed under the FCC's rules and regulations within 30 days after the Closing Date, and (ii) all reports (including Ownership Reports on Form 323) and other documents required to be filed by the Communications Act in connection with the transactions contemplated hereby and maintaining public records and files in accordance with the Communications Act and the rules and regulations of the FCC, except for such Media Licenses in respect of the Primary Stations the failure of which to obtain, maintain or preserve will not have a Material Adverse Effect.
Media Licenses. Each Borrower and each Subsidiary possesses all Media -------------- Licenses necessary or required in the conduct of its businesses and/or the operation of its properties. Each Media License is valid, binding and enforceable on, against and by such Borrower or such Subsidiary, as applicable. Each Media License is subsisting without any defaults thereunder or enforceable adverse limitations thereon, and no Media License is subject to any proceedings or claims opposing the issuance, renewal, development or use thereof or contesting the validity thereof. Schedule 3.9 hereto accurately and completely lists each material Media License directly or indirectly owned by each Borrower (including, whether or not otherwise "material", each Media License issued by the FCC, and further including all pending applications and renewals therefor), together with relevant identifying information describing such Media License. With respect to each FCC license listed on Schedule 3.9 hereto, the description includes, among other things, the call sign, frequency, location, file number, issuance date (original or most recent renewal), and expiration date.
Media Licenses. The Borrower and each Subsidiary have obtained, and -------------- are holding through the Entravision License Subsidiary or the LCG License Subsidiary, all Media Licenses necessary or required in the conduct of their respective businesses and/or the operation of their respective properties. Media Licenses. Borrower shall, and shall cause each of its Subsidiaries to, keep in full force and effect all of their Media Licenses, except those the loss of which individually or in the aggregate would not have a Material Adverse Effect. Borrower shall furnish to Agent copies of all notices which Borrower or any of its Subsidiaries shall have received from the FCC or other Governmental Authorities concerning any Media License, other than communications of a daily or routine nature, promptly after such receipt.
Media Licenses. Nothing herein contained shall be construed to give the Collateral Trustee or the Secured Parties or any purchaser of the Collateral the right to own, operate or control any of the Stations or any Media License without the prior consent of the FCC or any other applicable Governmental Authority, to the extent required by law or the terms of any Media License.

Media Licenses. Set forth on Schedule 4.24(a) hereto is a complete and correct list of all of the Media Licenses held by Borrower or any of its Subsidiaries relating to any of the Systems (which list sets forth the number of Subscribers attributable to such Media License as of December 31, 1995). All approvals, applications, filings, registrations, consents or other actions required of any local, state or federal authority to enable Borrower or any of its Subsidiaries (as the case may be) to exploit any such Media License have been obtained or made. Except as set forth on Schedule 4.24(b) hereto, neither Borrower nor any of its Subsidiaries has received any notice from the granting body or any other Governmental Authority with respect to any material breach of any covenant under, or any material default with respect to, any Media License held by Borrower or any of its Subsidiaries. True and complete copies of all Media Licenses listed on Schedule 4.24(a) hereto have previously been, or will upon receipt be, delivered to Agent. No material default has occurred and is continuing under any Media License held by Borrower or any of its Subsidiaries which default could reasonably be expected to have a Material Adverse Effect. All consents and approvals of and filings and registrations with, and all other actions in respect of, all Governmental Authorities required to maintain any Media License held by Borrower or any of its Subsidiaries in full force and effect prior to the scheduled date of expiration thereof have been or, prior to the time when required, will have been, obtained, given, filed or taken and are or will be in full force and effect, except where the loss of any such Media License, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.
