All Approvals. All approvals, consents, authorizations, elections and orders of or filings or registrations with any governmental authority, board, agency or issuer having jurisdiction which would constitute a condition precedent to, or the absence of which would materially adversely affect, the performance by the Issuer of its obligations under the Trust Indenture, the Depository Agreement, the Continuing Disclosure Agreement, this Purchase Agreement and the Bonds have been obtained and are in full force and effect or are expected to be obtained prior to the Closing;
All Approvals. Telemonde shall have obtained all federal, city, ------------- county and state approvals, licenses and permits required for the operation of the facilities included in the assets by Telemonde and no such approval shall have been conditioned upon any structural changes being made to the business or assets of Pac-Rim or shall have required the expenditure of more than $1,000.
