All Other Actions. The Sellers and Marathon shall cooperate fully with KBB, and will use all commercially reasonable efforts to assist KBB in its efforts to complete the transactions contemplated by this Agreement, unless such cooperation and efforts would subject the Sellers or Marathon to any extraordinary cost or liability or would be in breach of any applicable statutory or regulatory requirements.
All Other Actions. The Purchaser shall use all reasonable efforts to satisfy each of the conditions precedent set out in this Agreement to be satisfied by it as soon as practical and in any event before the Closing Date, and to take, or cause to be taken, all other actions and to do, or cause to be done, all other things necessary, proper or advisable that are commercially reasonable to permit the completion of the Acquisition in accordance with the terms and conditions of this Agreement and applicable Laws.
All Other Actions. The Purchaser shall cooperate fully with the Vendor and will use all commercially reasonable efforts to assist the Vendor in its efforts to complete the transactions contemplated by this Agreement, unless such cooperation and efforts would subject the Purchaser to any extraordinary cost or liability or would be in breach of any applicable statutory or regulatory requirements.
All Other Actions. All actions to be taken by the Company or Shareholders in connection with the consummation of Closing and the other transactions contemplated hereby and all certificates, opinions, instruments and other documents required to be delivered by such parties to effect the transactions contemplated hereby reasonably requested by Buyer will be reasonably satisfactory in form and substance to Buyer. Any condition specified in this Section 3.1 may be waived by the Buyer, provided that no such waiver will be effective unless it is set forth in a writing executed by the Buyer and delivered to the Company and the Shareholder or unless the Buyer agrees to consummate the transactions contemplated by this Agreement without satisfaction of such condition.
All Other Actions. The Sellers and TF License Co shall cooperate fully with MTEC, and will use all commercially reasonable efforts to assist MTEC in its efforts to complete the transactions contemplated by this Agreement, unless such cooperation and efforts would subject the Sellers or TF License Co to any extraordinary cost or liability or would be in breach of any applicable statutory or regulatory requirements.
All Other Actions. WOLF shall cooperate fully with the Sellers and SUBCO and will use all commercially reasonable efforts to assist the Sellers and SUBCO in their efforts to complete the transactions contemplated by this Agreement, unless such cooperation and efforts would subject WOLF to any extraordinary cost or liability or would be in breach of any applicable statutory or regulatory requirements.
All Other Actions. Any and all other actions not referenced in subsections (1) through (5) above that are necessary or desirable to facilitate the Closing as contemplated hereunder.

XXXX shall cooperate fully with the Sellers and SUBCO and will use all commercially reasonable efforts to assist the Sellers and SUBCO in their efforts to complete the transactions contemplated by this Agreement, unless such cooperation and efforts would subject WOLF to any extraordinary cost or liability or would be in breach of any applicable statutory or regulatory requirements.
All Other Actions. The undersigned hereby further agree to authorize the officers of the Corporation, or any of them, to take all other actions, and to incur such costs as may be necessary to prepare and file all papers required to amend the Articles of Incorporation of the Corporation to increase the number of authorized shares of Common Stock as described above.
